Sorry i just have to laugh how people think this is a bad thing lol We are securing funding for the further development and progress in response to customer engagements. This is all positive.

Under the agreement the max number of shares to be issued is 40mil. this is max not min. and the amount of $20mil provided is a min of $20mil. Pager 1 of 5 Appendix 3B Maximum Number of +securities to be issued BRN ORDINARY FULLY PAID 40,000,000 So from this reading Brainchip will get $20 mil for an exchange of max 40mil shares, which means they could get $20 million for less number of shares issued.

So if the price vwap (91.5% of that) equates to say $2 (rounding to make it easy) by the time Brainchip make the call LDA would receive 10 mil shares for $20 mil dollars. Again simple math. but hey i'm no genius.

Yes Larry. Agree. Don't want to ever let finances get low. Prophesee is a good example. A little dilution in the big scheme of things is ok with me. JIMO. Bloodsuckers and big boys can destroy you if you have a weak balance sheet. Keep on cruising on.

This makes me wonder. In the early phases could we put pressure on getting a massive license deal by only offering an IP license to 2 firms in an industry and chuck a premium on that and an ACT NOW. Nees some thought but knowing you will have exclusivity in some form could trigger a biddding war.

Since the start of 2024 and the first 3 days of 2025 a total of daily shorts is 337,163,727 for a daily average (262 days) of 1,286,884 per day.
Since the 10.12.2024 announcement of the US Air Research Lab short equal 91,6743,064 for a daily average (17 days) of 5,392,533 per day.
This is even more stark if you remove the after announcement short spree 2245,690,663 for 245 days at an average of 1,002,003 per day.
What the market is saying is that after 2 good announcements shorter activity went up by 5.4 times.
BOLLOCKS. These pricks KNEW that there would be another funding round.
The level playing field has a decided tilt in the shorter direction.

Well, I just watched the opening keynote speech presented at CES 2025 by the one and only Jensen Huang,
it was simply unbelievable, it went from around 1.5 hours live stream, did anyone else view it live ? it's just finished.

I don't necessarily think this is a bad thing, it's just annoying when they keep raising capital after we move up by tiny amount which kinda signals that any significant revenues won't be coming any time soon... and kinda kills the uptrend (hopefully Mr market continues to accumulate and run pass this)..

Also, IMO, the maximum of shares, 40 mill, relates to the listing rule 7.1 which limits the number of shares to be issued without shareholders approval to be under 15% of total issued capital. So if the management thinks we need 80 mill (* the 91.5% of 80 mill, I cbb calculating) and share price is 2 dollars (the average), they can issue 40 mill shares before the due date. But even if they don't need 20 mill, because they somehow landed a massive deal, they still need to draw down additional 20 mill.

BrainChip (ASX:BRN), a producer of neuromorphic artificial intelligence IP, has announced its fourth amendment to the put option agreement with LDA Group, an affiliate of LDA Capital.

The amendment extends the agreement, offering BrainChip access to necessary capital until June 2026.

This brings the total funding available under the POA to $140 million, with an increase of $37 million from previous commitments.

Since the inception of the POA in August 2020, the company has drawn approximately $68 million in gross proceeds.

A crucial aspect of the amendment is the addition of a minimum drawdown amount of $20 million, to be drawn by June 30, 2026.

BrainChip will issue 40 million collateral shares by the earlier of the next capital call or June 30, 2025, adhering to Listing Rule 7.1 placement capacity.

"No additional fees are incurred under the amendment of the POA. The capital raised will drive the development of Akida 2.0 products and support commercialisation and expansion efforts," stated Sean Hehir, CEO of BrainChip.

Hehir elaborated, "With the growing momentum of our 2nd generation AkidaTM products, and our exceptional TENNS solutions which excel in streaming data at the edge, we recognise the need to accelerate investments to drive growth and solidify our market leadership."

"While maintaining a prudent approach to cash management, having access to funding from our well-respected partners at LDA Group, enhances our ability to ensure business continuity and remain competitive against well-capitalized industry peers," the executive added.

Wow I just checked the share price and it looks like the upward trend is strong and will burn the shorters' hope hahahahahhahaha nice!!!

In my opinion, the dilution caused by the LDA is minimal and almost negligible in terms of percentage of the total shares in the registry. i.e. the drop in SP is disproportionate to the dilution caused by the LDA. The market has over-reacted in the morning. Also, I think more access to capital is actually a good thing for BrainChip - especially at the early stage of our commercialization journey.

Haha... I am super happy today!!! I have taken advantage of the opportunity to buy more BrainChips at a discount price :)

I feel sorry for those who fell into the shorters' scare tactics and sold out at the low 30s today...

CES2025 is going to start at 4AM NSW time (approx 12 hours from now)!!! Bring it on Brainchip!!!!

We will probably see this flying in the next couple of months!

Disclosed is a system that includes a processor configured to process data in a neural network and a memory associated with a primary flow path and at least one secondary flow path within the neural network. The primary flow path comprises one or more primary operators to process the data and the at least one secondary flow path is configured to pass the data to a combining operator by skipping the processing of the data over the primary flow path. The processor is configured to provide the primary flow path and the at least one secondary flow path with a primary sequence of data and a secondary sequence of data respectively such that the secondary sequence of data being time offset from the processed primary sequence of data.

In a multi-layer NN, a word or object may be classified at an intermediate layer, making it unnecessary to process the corresponding input signals (activations) in subsequent layers, so the classified word/object is passed to the end layer. In order to compensate for the time saved in skippng layers, a compensatory delay is imposed, so the information at the output is synchronized with the input activations. This can speed upprocessing and save power by avoiding unnecessary processing, and this in turn can avoid "hallucinations".

This can be used in NLP (natural language processing) or in object tracking in silicon, relieving the CPU of these tasks after the words/objects have been classified by Akida.

So when do you think Nvidia will make a takeover offer for BRN so it can dominate the AI at the edge as well? Surely it has to come.
