JOINT PRESS RELEASE N°002/OSC/RN/11/2022 THE MANAGEMENT OF COMINIERE SA MUST STOP BLOCKING THE DEVELOPMENT OF MANONO AND UNDERMINING PRESIDENTIAL POLICY ENERGY AND DEVELOPMENT OF 145 TERRITORIES IN MULTIPLYING STRATEGIES TO BLOCK DATHCOM MINING. Kinshasa-Bukavu-Kolwezi-Lubumbashi, November 20, 2022. Our national civil society organizations specializing in resource issues natural resources in the Democratic Republic of Congo, signatories of this press release, invite His Excellency the President of the Republic, Head of State Félix-Antoine TSHISEKEDI TSHILOMBO and the Government led by His Excellency the Prime Minister Jean-Michel SAMA LUKONDE KYENGE to be concerned for the normal functioning of the Dathcom Mining SA joint venture to enable it to start producing Lithium in the territory of Manono and apply its community development policy according to the country's mining legislation and international standards. Our organizations are seeing unrest and maneuvering from some departments administrative and judicial authorities as well as Cominière SA with the aim of freezing the notification of the Dathcom Mining SA Exploitation License and communicate the total amount surface rights due to the State; this constitutes a serious prejudice not only for the party Congolese (Congolese State with its 10% of the shares returning to it by right as well as those of the portfolio company, Cominière SA), but above all for the population affected by this project mining which was already to conclude the Specifications for community development for combat current poverty; this also prevents the start of the construction works of the mine and the production of this popular mineral in the manufacture of electric batteries essential in the fight against global warming against which the DRC is positioning itself into a solution country for the global energy transition. Since September 2022, the General Management of Cominière SA, one member of which is supposed to sit in the Technical Committee for Monitoring the works of the rehabilitation project of power plants of Mpiana-Mwanga, launched a call for tenders claiming that the said power plants are to be abandonment. During a meeting organized by the communities of Manono on Saturday, November 12 2022 on Dathcom Mining SA, the delegate of Cominière SA has publicly declared that they have '' selected the Chinese group Zijin for the rehabilitation of the hydroelectric power plants of Mpiana- Mwanga within three years and unconditionally”, according to the information in our possession received of a participant in said meeting. While the official documents in our possession (including the ministerial decree of which we publish a copy in this press release) prove the contrary. The signatory organizations find in this one more unfortunate maneuver to block the start of the Dathcom Mining SA mining project which will contribute to the development of Manono and its surroundings in the province of Tanganyika as requested by His Excellency Mr. President of the Republic and His Excellency the Prime Minister through the ambitious grassroots development program for our 145 territories, with positive spin-offs and ripple effects on the provinces of Haut-Katanga, Lualaba, Maniema, Haut-Lomami, Lomami, South Kivu. Our organizations remind Cominière SA and the Ministry of the Portfolio that one of the reasons that motivated the government to sign the agreement with AVZ POWER SAU is the announcement made by this private company to rehabilitate the plants concerned in compliance with the laws of the country and the international standards in the sector in order to supply energy to Dathcom Mining SA for its mining operations as well as public and private schools and hospitals (health centers) in Manono and its surroundings without forgetting a quantity to be used by the State for the electrification of the city of Manono and Mpiana-Mwanga. This vision of things is part of the policy of development of His Excellency Félix-Antoine Tshisekedi Tshilombo, President of the Republic and Head of State, to electrify our villages and towns through public-private partnerships. After documented investigations with the Ministry which manages electricity in the Republic Democratic Republic of the Congo, our organizations have succeeded in establishing the following chronology of events known to Cominière SA that they wish to share with public opinion: -On June 04, 2019, AVZ POWER SAU sends a letter of Expression of Interest on a project hydroelectric development of the Mpiana-Mwanga site at least 87 km from the city of Manono in Tanganyika; -On June 13, 2019, there was a meeting convened by the Ministry of Energy sanctioned by a ‘’ Minutes of the meeting

On October 30, 2020, there was an “Information Note for the attention of His Excellency Mr. Minister of State, Minister of Water Resources and Electricity” on the “Mission requested by the company AVZ POWER SAU within the framework of the technical and environmental assessments of the Mpiana-Mwanga hydroelectric power plant under reference RHE/4/SG/0/1321/G20/SMW/2020. -On October 30, 2020, there was “Transmission of the report of the service mission carried out in Manono in the province of Tanganyika” according to the referenced mission or service order RHE/0/SG/070/B9/SM/2020 of September 15, 2020” to support the technical agents of the companies Congo Energy SA, Blue Phoenix, Stucky, CREC 8, International Montage Maintenance SA, Zest Weg Group, Muama Business SARL Group, WD Power, Power Line, Africa Services DRC SARL, TBEA Hengyan Transformer Co. Ltd and Tramico SARL in connection with the valuations technical and environmental aspects of the Piana Mwanga I and II power plants, under reference RHE/4/SG/0/1322/G9/ALS/2020. -In October 2020, there was a "Mission Report" carried out in Manono by Engineer Timoleon EYUMA, a ministry official responsible for coordinating all the work. In December 2020, the General Secretariat of the Ministry of Water Resources and Electricity shared with the parties its “Mission Report” carried out, from November 24 to December 09 2022, at various sites in the Territory of Manono, in the province of Tanganyika for a comprehensive assessment with a view to planning the rehabilitation works of the power stations Mpiana-Mwanga I and II. - On January 22, 2021, the report of the service mission was sent to the Ministry carried out in Mpiana-Mwanga on collective service order No.RHE/4/SG/0/114/B9/SMW/2020 -29 JANUARY 2021, the Minister of Energy signed a Ministerial Order No.129/CAB/MIN/RHE/EMM/2021 of 29 on the “creation of a Technical Project Monitoring Committee rehabilitation of the Mpiana-Mwanga I and II hydroelectric power stations, in which a representative or delegate of Cominière SA. On the same day, the Minister signed Ministerial Order No.130/CAB/MIN/RHE/EMM/2021 on designation of the members of the monitoring committee for the plant rehabilitation project hydropower plants of Mpiana-Mwanga I and II. -On March 12, 2021, there was “Transmission of the Minutes and Report” of the validation workshop of the feasibility studies relating to the renovation of the Mpiana-Mwanga I hydroelectric power stations and II on the Luvua River in Tanganyika Province under reference RHE/SG/0/0389/B8/SM/2021. - On April 9, 2021, the members of the Monitoring Committee were appointed. -On April 24, 2021, by its letter referenced MOMENTUM/KIN/CL/002/AVRIL/2021, the consulting firm of AVZ POWER SAU writes to the Minister of Energy to express to the government the satisfaction of his client following the letter from the Minister of Energy referenced CAB/MIN/RHE/BMP/209/AAM/21 approving the feasibility studies for the renovation of the Mpiana-Mwanga I and II power plants. -On May 3, 2021, the letter from the Secretary General of the Ministry of Hydraulic Resources and Electricity referenced RHE/SG/0/0652/G/NB/2021 appointing the member and official leader, representing the Ministry of Hydraulic Resources and Electricity in the committee of followed. -On May 3, 2021, the letter from the Secretary General of the Ministry of Hydraulic Resources and Electricity referenced RHE/SG/0/0653/G/NB/2021 notifies the representative of the Ministry of resource

TO THE MINISTER OF WATER RESOURCES AND ELECTRICITY - To ensure that the work is carried out normally taking into account the agreement signed with AVZ POWER SAU which engages the entire government and the Democratic Republic of Congo; - To ensure with his Portfolio colleague that the Management of Cominière SA ceases to create a further blockage against the effective start of work on the Dathcom lithium mining project Mining SA expected by the populations of Manono, the province of Tanganyika and the whole country. 3. TO THE MINISTER OF PORTFOLIO - To stop sowing confusion and playing a role that blocks the development of the mining project of Dathcom Mining SA and take into account the conclusions of the IGF roadmap (Report) on his bad role in the illegal sale of 15% of the shares to a Zijin company as well as the sell-off of the assets of Cominière SA by its interim management, then draw all the conclusions of fact and by law; - To respect and support the Memorandum of Understanding signed by the Government of the Republic, through the Minister in charge of the energy sector, and AVZ POWER SAU for the rehabilitation of Mpiana-Mwanga power plants; - To stop taking sides with a private company (Dathomir Mining Resources SARLU) in its commercial dispute with AVZ International Pty Ltd nor for the Chinese group Zijin, beneficiary of a sale of Cominière SA shares qualified as illegal by the Report of the General Inspectorate of Finance, with all the risks of undermining the efforts of His Excellency Mr. President of the Republic and Head of State for a healthier business climate and the rule of law; - To proceed urgently, in the name of the higher interest of the nation and in respect of the vision of the Head of State, to the recruitment by selective test of State agents who can manage rationally with productive governance this state mining company whose assets serve only a small group of individuals identified by reports from other organizations not governmental. 4. TO HIS EXCELLENCY THE PRIME MINISTER, HEAD OF GOVERNMENT - To put some order in the management of Cominière SA, left for years in the hands of two people (the Deputy Managing Director and the Technical Director) who impose their will to the detriment of the interests of local communities and the Republic, and to ask the Minister of the Portfolio to proceed urgently to the recruitment by selective testing of new agents to manage this public company taking into account the conclusions of the Report IGF; 5. The lithium mining project in Manono, in the province of Tanganyika, is stalling. And civil society, operating in the natural resources sector, does not hesitate to name the culprit: Cominière (Congolese mining company), this state portfolio company born from the remains of Zaire-Etain.
In a statement, made simultaneously, on November 20, 2022, in Kinshasa, Kolwezi, Lubumbashi and Bukavu, these Civil Society Organizations note that "the management of Cominière SA must stop blocking the development of Manono and undermining the presidential energy policy and the development of 145 territories by multiplying strategies to block Dathcom Mining”.
From the outset, these Civil Society Organizations specializing in natural resource issues claim to have noted "agitation and maneuvers on the part of certain government administrative and judicial services as well as Cominière SA with the aim of freezing the notification of the 'Exploitation of Dathcom Mining SA and communicate to it the total amount of surface rights due to the State; this constitutes a serious prejudice not only for the Congolese party (Congolese State with its 10% of the shares returning to it by right as well as those of the company in the portfolio, Cominière SA), but especially for the population affected by this mining project which was to already conclude the Specifications for community development to combat current poverty;
They base their conviction on documented investigations with the ministry that manages electricity in the Democratic Republic of Congo.
“Taking into account these facts known to the Management of Cominière SA and the pullers of the strings to be identified”, these Organizations recommend “urgently and patriotically” to the authorities of the country to do everything possible to remove all the locks which block the effective start of the project. lithium from Manono.

Might be a good way to have a connection between shareholders and the local community, to show we actually really do care and want positive change for them.
If anyone knows of something happening if you could pont me on the right direction that'd be much appreciated.
