The other 80% of AVZ shareholders also contribute to how the 100% dictate the direction of the company - and to make it even simpler, "we" shareholders only have a say once a year..... . His theoretical 20% ownership of AVZ doesn't give him "control" of anything other than votes at an AGM and any profits on the shares..So say Pei is behind the Resource Capital Investment deal....
If AVZ is successful with the Dathomir deal, which seems to look highly likely, AVZ owns 75% of Dathcom.
If Pei can get his grubby hands on the 20% of AVZ with his 1 AUD cents offer, he can essentially increase his holding of Dathcom from 24% to (20% of 75% = 15%) to 24% + 15% = 39% and leaves AVZ with 75% - 39% = 36% of Dathcom and this for less than US$ 4,500.
And Pei did not have to get his super abacus out to calculate this, he could have worked this out on the back of his left hand.
No reason to get excited over the BOD, that's just noise.
Just my observation.
AVZ has legal title over 90%, and by granting Pei 24% for his cash, that leaves us with say 66% of Dathcom. If Pei grabs 20% of AVZ then that adds another 13.20% = leaving him with a financial benefit of 37.20% and AVZ with 52.80%. We'd also have $240M in the bank to go dig some rocks.
So yes, he "increases his holding" financially but not into majority levels - is that your concern?
