Laguna Hills, Calif. – May 15, 2023 – BrainChip Holdings Ltd (ASX: BRN, OTCQX: BRCHF, ADR: BCHPY), the world’s first commercial producer of ultra-low power, fully digital, event-based, neuromorphic AI IP, announced today Quantum Ventura Inc., a San Jose-based provider of AI/ML research and technologies, will use BrainChip’s Akida™ technology to develop new cyber threat-detection tools.
In this federally funded phase 2 program, Quantum Ventura is creating state-of-the-art cybersecurity applications for the U.S. Department of Energy under the Small Business Innovation Research (SBIR) Program. The program is focused on “Cyber threat-detection using neuromorphic computing,” which aims to develop an advanced approach to detect and prevent cyberattacks on computer networks and critical infrastructure using brain-inspired artificial intelligence.
“Neuromorphic computing is an ideal technology for threat detection because of its small size and power, accuracy, and in particular, its ability to learn and adapt, since attackers are constantly changing their tactics,” said Srini Vasan, President and CEO of Quantum Ventura Inc. “We believe that our solution incorporating BrainChip’s Akida will be a breakthrough for defending against cyber threats and address additional applications as well.”

The Akida neural processor and AI IP can find unknown, repeating patterns in vast amounts of noisy data, which is an asset in cyber threat detection. Once Akida learns what normal network traffic patterns look like, it can detect malware, attack signatures, and other types of malicious activity. Because of Akida’s unique ability to learn on device in a secure fashion, without need for cloud retraining, it can quickly learn new attack patterns, enabling it to easily adapt to emerging threats.
BrainChip IP supports incremental learning, on-chip learning, and high-speed inference with unsurpassed performance in micro watt to milli-watt power budgets, ideal for advanced AI/ML devices such as intelligent sensors, medical devices, high-end video-object detection, and ADAS/autonomous systems. For what it's worth I can tell you that I voted 'yes' to performance shares for existing officers (an important incentive to keep good people) and 'no' to the Hernandez share issue. On the information we have been provided, I cannot see that it is justified. At best, if there were a legal issue, the most he would be entitled to is an issue of like for like options, not free shares.Good evening,
After a lot of thinking about Manny receiving 8,000,000 ordinary shares v's 8,000,000 options at an excise price of 0.127 (from memory) and having discussed this with a number of business folk who aren't directly involved with Brainchip, having thought about a number of issues that transpired under Manny's Chairpersonship, I'm not convinced the company has laid down enough information to satisfy my vote.
My assumption is that the company has sort legal advice in the US and realizes that (we) maybe at fault or some sort of contractual breach if we don't sort this matter out amicably, it still doesn't sit 100% comfortably with me, and having never met Manny, it's obviously nothing personal, it's just business (as a hitman would say).
I think of the 17.5 million AUD in wasted funds surrounding Studio, I think of the utter debacle surrounding the school security contract (the alleged contract) in New York state, they were the biggest business events that really annoyed me, but after having met both Peter and Adam personally in 2019, I realized that our company had a truly valuable moral compass, I knew then are there, my invest was justified, confidently safe without pointing or waving a stick, yes it was my choice, but it felt great and still does today !
Vote how you think, based on what you have learned over the journey...I'm still undecided to be totally frank.
On the issuing of shares or performance shares to staff, I back this business decision 100%, it reflects milestones are being achieved and if the board is happy with the research team and our brilliant engineers, well, so am I.

To me this is all great news. It means products in the works. I have the impression that the partnerships are a way to get companies making products with Akida in them without the cost of an upfront licence fee. If that is what it is, then I believe it's a smart move to get products out there. I just don't believe that anyone on the Board of Directors or indeed in any senior management position that is likely to attend the AGM is either blind or deaf as to how their share holders view the share price of the Company.
Particularly when it has been subjected to blatant manipulation and shorting attacks reducing its daily valuation by two thirds from this time last year.
Or the sour taste that goes with continuing progress payments for employees whilst said share price languishes.
These are natural responses but to my mind unfounded and divorced from the reality of the situation.
The progress payments are not tied to the share price valuation.
Instead they are dependant upon individuals or sections reaching and exceeding certain KPI's which will be growth and performance based on Company expectations and requirements.
Where I have previously seen incentivization tied primarily to share price it has invariably led (over time) to a corruption of the business or it's managers based on the perverting influence of the predominance of the profit motive alone to the exclusion of other factors which sustain and keep growing a healthy business.
As long as the board and management team are following and executing a sound business plan they have my support and I don't see the value in beating them over the head with things they are already aware of and of which they have limited control.

There is a reason we have been shorted - very little revenue and no new announced commercial customers. These institutions have entered our house, and they have destroyed our SP by shorting… but management gave them the keys.

Some employees (then CEO, Marketing, BDM, anyone non technical for that matter) have KPIs which are likely bound or at least attached to financial performance. These have clearly not been met. Sean stated that we should have been financially self sufficient (early in 2022, though I forget where and when) by they end of last year, and he also said that he should be judged by his performance by this AGM. Lets face it - the SP dropping by 2/3rds isn’t a great achievement.
These people get paid a lot of money to be responsible for the management of a vessel that contains your money. Some on here need to stop making excuses and call it want it is.
