If the buyer purchase all the shares of AVZ, will it be a good result for tax purposes?

Nigel has 50 million reasons to steer the arrangement towards a beneficial tax arrangement for shareholders. So you would hope that shareholders get the CGT discount. It is likely to be a complex transaction though.

If AVZ don't pay tax on the sale of Manono in DRC or SIngapore then we won't be eligible for relief from double taxation in Australia and it will need to be paid by either AVZ or the recipients of the dividend imo

They warned me that it may take two weeks to land.
It did, so don't lose any sleep over a delay.

Unfortunately we do not have a tax treaty with the DRC so double tax is a risk which makes it so important to make sure the correct entity is sold/ taken off our hands.

AVZ can always pay taxes but they have to be from profits. If the company is given income then sure, a profit can be booked. If the company is given a capital offer for scrip, then it will need to be passed on as capital to shareholders.

I’m sure Nigel has all this information in his briefcase.

Yeah I don't think that will be the end result but it is the only scenario I can think of that would result in a franked dividend

There was some talk of a tax waiver being sought by Nigel on the DRC end (if applicable) which would ease the risk of double taxation but it would still be due in Australia or possibly SIngapore in some form imo

I'm sure the bod will maximise tax benefits for shareholders wherever they can

I’m hoping for relisting and a special dividend at some point in the future so LTH can sell on market and access CGT discount. Much like PSC, but of course they never delisted.

There’s a lot of confusion floating around, so let’s be clear: there will be no re-listing. AVZ is headed toward a final resolution — not a return to trading.

And there absolutely should not be a dividend, franked or otherwise. That would treat the payout as income, not capital, and shareholders would get hammered at their marginal tax rates.

What needs to happen is either:
• a share buyback, or
• a formal liquidation with a capital distribution.

Both of these would trigger a CGT event, allowing eligible long-term holders to access the CGT discount. That’s the correct structure — anything else risks handing a large chunk of the return straight to the Australian government who frankly have done fuck all to support us.

I would hope that a share buyback or capital distribution happen.

What makes you think that a re-listing will definitely not happen though? I think it is unlikely as well, but would have thought it is possible.
