Mr Dircab, you do not deny the value of 24% at $240 million on the other hand vs. move the debate on the payment of taxes or not of AVZ. You would agree with me that $33.4million is an undervalued value of the shares of Cominiere in favor of ZIJIN and that is intentional.

Upon her accession to the Ministry of the Portfolio of the Democratic Republic of Congo (DRC), Her Highness Princess Adèle Kayinda Mahina, began first by making an inventory of the public companies under supervision before administering shock therapy to all these “lame ducks” including the Congolese mining company (COMINIERE), a semi-public limited company, according to OHADA business law, created on April 12, 2010 following the decision of the General Assembly of shareholders namely, the Ministry of Portfolio and the National Social Security Fund (CNSS).

The purpose of the company, both for itself and on behalf of third parties, is to carry out all study, prospecting, research and mining operations for tin, colombo-tantalite, and all transferable and recoverable mineral substances as well as all operations of concentration and metallurgical and chemical treatment, transformation, export marketing of these substances and their derivatives, mining engineering and all operations likely to promote the achievement of the social object.

And generally, all financial, commercial, industrial, movable and immovable transactions, all acquisition of interests or holdings, in any form whatsoever, in any company or company existing or to be created that may be directly or indirectly related to the object if above or to any similar or related object, likely to promote its realization, its extension or its development.

The share capital of COMINIERE SA is 90% owned by the Congolese State through the eponymous ministry and 10% by the former INSS.

The press has made it its bold picks lately. We are in 2022, more than 10 years after its creation, nothing has been done for its development while in the bowels of the old mining town of Manono (Editor's note: Territory located in the province of Tanganyika, born following the sharing , in 2015, in four of Katanga, a region in the south-east of the DRC abounding in minerals, copper and cobalt in particular.

Manono was created at the beginning of the 20th century, with the exploitation by Belgian settlers of a deposit of cassiterite, the ore of tin), lithium, the metal that has become the star of electric car batteries, has been discovered in an old and vast cassiterite quarry called “Roche Dure”, potentially one of the largest deposits of pegmatite LCT (lithium, cesium, tantalum) rich in lithium in the world.

Unfortunately, this is not yet the case and we have to make allowances”, declared Clément Mushengezi Cirhuza, former Director of Cabinet at the Ministry of the Portfolio, speaking on the antennas of the Congolese National Radio and Television (RTNC). .

For the record, AVZ entered the partnership in 2017 with 60% of the shares; COMMINIERE, as a public company, 30% at; and DATHOMIR 10%. AVZ had a duty to seek funding to develop these mining projects. Five (5) years later, there is still nothing. It is in this situation that Minister of State Adèle Kayinda Mahina arrives on Wagenia Avenue in 2021.

Having noted this lethargy, the warrior will decide to revitalize the activities of this important company in the State portfolio which holds the one of the most important lithium mines which can help the development of electric batteries in the DRC.

The Congolese people in general and those of Tanganyika in particular do not benefit from this. The representations of the people including Célestin Mbuyu Kabango, Martin Kabwelulu Labilo, former minister of Mines, even came to Kinshasa, the capital, to both complain and denounce this sad situation.

In short, Adèle Kayinda Mahina, according to the words of Director Clément, is a hardworking, fervent Christian, honest and honest woman.

None of these investigations, affirmed concordant sources, concluded on the implication of the person of Adèle Kayinda in the selling off of the heritage of this public company.
They recalled that by decision of the Prime Minister, Sama Lukonde, public companies have been authorized to associate with private capital or foreign direct investment (FDI), through joint ventures, for the development of strategic minerals.
“It is this reform, led by Adèle Kayinda within COMMINIERE, which is pushing under-informed people to cry out, without reason, for the selling off of this public company”, our sources maintained.
And to specify:
"When one knows the functioning of the structures of the government of the Republic, it is unwise to consider that a minister, even a minister of state, has the power to initiate alone such a reform which affects the life of the State, public finances and the lives of citizens on major mining projects that take an average of 30 years to complete”.

Good morning everyone. In the last few days, my last hope has somehow gone. The matter has become a political issue and AVZ can only lose there. It's amazing what a large amount of capital is lost among the shareholders
dont think that will happen. They are trying to address corruption, this scenario will only feed in to the narrative of the political opposition.

no they giving her back up. saying alingete (IGF) wants to discredit her and shoot against him. I just thinking the last few hours about that shit with the following thoughts:

-avz waiting for the mining license since may 2021, spend 100 million in the project and have a partner with enought money to develop the project since september 2021
--> avz ready to go for over one year now and only waiting for the license, taxes for the DRC and benefit for the people of manono

-but instead a lot of people say avz have done nothing, a important minister gives a fuck about a legal 15% deal with dathomir, but selling illegal 15% to zijin for peanuts and praise zijin as the rescue hero of the project. What the fuck is wrong with you?!
--> the two guys from cominiere who give the power station for free to zijin, blocked avz and helped her, are getting arrested after months of knowledge, the prime minister think everything she is doing is ok for him instead of talking about the real facts that she sold 15% cheap to zijin and 5% free to MMCS. -No person of the government ever had a good word for us or said they would help us.
-We lost all court cases against zijin or dathomir
-AVZ never talked about the problems, for the pain of the shareholders, which brings us in this situation
-after 7 months no timetable for a close solution
-big boys have enought money for the long game, we not and spending more than 20 million per quarter
-a lot of fluffy unicorns over the last few years, last unicorns given to us a few weeks ago at the roadshows

-Main sponsor of the Mining Week 2023
-contract with one of the richest man (nr. 225) on earth, who hopefully have a idea to help us
-money for construction when license is really given
-clarke 100% confident of sez and collaboration agreement and Nigel confident of trading again soon ( 7 weeks ago, fluffy unicorn again?)
-the cominiere block maybe removed now???

Possibilities:

1. Drc gives a fuck and screw us over, they will find other companies that will invest, no australien, maybe no europe but there will always be a chinese one. The DRC image will damage, but they still have no good image, so who cares? in the end they say its our fault. illegal acquirement
2. AVZ really get the mining license, but after 20/7 months i have my doubts about this now
3. behind the scences they give us a chance to sell it cheap
4. they will drag it as long as possibile until we got delisted or give up to sell it cheap, but this could take more than a year from now. and the question....will anybody buy it when we are in suspension?

For the moment no chance of find out whats really going on, only have some unicorns and a few wink winks.
