AVZ Discussion 2022

First part is based on what MMGA are saying on their website and Tommy's original article where he gloated about AVZ losing control and ending up with 36%. That idea wasn't his imo. I can't see how else this will move forward seeing as the key decision makers clearly don't like us for not giving them snacks.

The applicant Dathcom needs 51% not AVZ imo. Although last time we disagreed on something in the mining code you schooled me and are probably about to again haha

Second part is pure speculation on my part but I just can't see them doing this for the lulz. Hope I'm wrong. Have been about plenty in the past 🤣
But 36% relies on AVZ selling the 24% to CATH, which they wouldn’t do anyway unless they were certain of retaining majority ownership post CATH deal (ie holding 75% before deal). Tommy 36% statement was just baseless FUD on anticipation AVZ was to come out of halt. Imo

Pretty obvious what their plan is. Concede all court cases and proceed with AVZ having minority ownership of Dathcom at 36%. They'll probably agree to the pro rata ceding of the 10% that Cominiere are obligated to transfer to the DRC government too leaving us with 32.4%. China wants to control output from Manono and won't allow the project to proceed until they have it.

It would be extremely surprising to me if the MMGA goons didn't already have significant backing of the register to launch this. Not quite 50% but I reckon they are closer than most realise. We will most likely be out of cash by next years AGM if still no ML so this is their only chance without putting the DRC government into $10b USD worth of debt imo
Regarding the 2nd part, what I have heard is, they are puppets of some big players, both Chinese and non Chinese. So, agreed with Carols, they should have the significant backing.

The United States and Saudi Arabia are in talks to secure metals in Africa needed to help them with their energy transitions, the Wall Street Journalreported on Sunday, citing people with knowledge of the talks.

A state-backed Saudi venture would buy stakes in mining assets worth $15 billion in African countries such as the Democratic Republic of Congo, Guinea and Namibia, which will permit US companies to have rights to buy some of the production, the report added.

The US is in a race to catch up with China for supplies of cobalt, lithium and other metals that are used in electric car batteries, laptops and smartphones.
In a similar arrangement in July, Saudi Arabian Mining Co (Ma’aden) and the Saudi Public Investment Fund (PIF) acquired 10% of Brazilian Vale’s base metal unit, while US investment firm Engine No. 1 acquired 3%.
The newspaper said the PIF approached Congo in June about investing in cobalt, copper and tantalum in the country via its $3 billion joint venture with Ma’aden called Manara Minerals
Manara is also focusing on iron ore, nickel and lithium.
The White House is seeking the financial backing of other sovereign-wealth funds in the region, but talks with Saudi Arabia have progressed the farthest, the Journal added.
The Saudi government and The White House did not immediately respond to a request for comment.

DRC: irregular seizure of the accounts of the Roads Office, Rose Mutombo demands the suspension of the effects of jurisdictional acts!

DRC: irregular seizure of the accounts of the Roads Office, Rose Mutombo demands the suspension of the effects of jurisdictional acts!

Saturday, September 9, 2023-The Minister of Justice, Rose Mutombo Kiesse, instructs the inspector general of judicial and penitentiary services of the Kinshasa/Gombe high court to suspend the effects of the jurisdictional acts of the seizure of the accounts of the Roads Office.

In a letter signed this Saturday, September 9, the Minister of Justice described this seizure as “irregular.” »
She believes that this paralyzes the work of general interest carried out by the Roads Office across the country.
» I instruct you to suspend the effects of the jurisdictional acts and have the bailiffs' acts listed above withdrawn, while ensuring that no bank in which its assets are housed submits to any measure of forced execution with regard to this " , we read in this correspondence from Rose Mutombo Kiesse, a copy of which our editorial team has intercepted.

According to the head of justice, after analysis of the file, the execution continued by the general inspector of judicial and penitentiary services of the Kinshasa/Gombe high court on property and assets of the Roads Office is is made in violation of the law.
Rose Mutombo Kiesse also calls on the attorney general at the court of Kinshasa/Gombe to open a judicial investigation against these two bailiffs and to initiate proceedings against them for in particular "violation of the provisions of article 175 of the Law No. 22/069 of December 27, 2022 relating to the activity and control of credit institutions.”
This decision to suspend jurisdictional effects will have the advantage of propelling the Roads Office into the mission assigned to it by the Congolese State.

“On Saturday, September 9, 2023, the Minister of Justice, Rose Mutombo Kiesse, instructed the Inspector General of Judicial and Penitentiary Services of the Kinshasa/Gombe High Court to suspend the effects of the legal actions related to the seizure of the accounts of the Office of Roads. In a correspondence signed on this Saturday, September 9, the Minister of Justice described this seizure as "irregular." She believes that it hinders the general interest work carried out by the Office of Roads throughout the country.

"I instruct you to suspend the effects of the legal actions and to have the listed bailiffs' acts withdrawn, ensuring that no bank where its assets are held complies with any forced execution measure in this regard," reads the correspondence from Rose Mutombo Kiesse, a copy of which our editorial team has obtained.

According to the head of the justice department, after reviewing the case, the execution carried out by the Inspector General of Judicial and Penitentiary Services of the Kinshasa/Gombe High Court on the assets and properties of the Office of Roads was done in violation of the law. Rose Mutombo Kiesse also calls on the Prosecutor General at the Kinshasa/Gombe Court to initiate a judicial investigation against these two bailiffs and take legal action against them, notably for the "violation of the provisions of Article 175 of Law No. 22/069 of December 27, 2022, relating to the activity and control of credit institutions."

This decision to suspend the legal effects will benefit the Office of Roads in fulfilling its mission entrusted by the Congolese state.

Pressure certainly on management to produce an outcome before AGM so as to keep these fuckwits at bay, shareholders getting very restless and I for one hope they can produce something very very soon.

Your mistake is thinking that MMGA have your best interest at heart. They don't imo

Nigel has made it very clear that AVZ are willing to accept 51%. Yet we are on day 493 of suspension after receiving a ministerial decree for the licence. Why is that?

@Carlos Danger I agree with your view. There could be undercurrents that is not obvious to general shareholders.
Two things I was worried about: First is the EGM, but that didn't materialise. Those three guys couldn't garner 5% shouldn't be trivialised. The most important thing is when the shareholders vote and that is when the people inside the trojen horse come out and hit us.
Second thing is the percentage of votes. If you look at the previous voting history, only about 30% of votes were casted. The top 20/50 and the unhappy shareholders are going to vote and they can surely sway the decision. Some of the top 20 appears to be with the BoD, but what happens if their hands get twisted. The mum and dad investors with a happy feeling may not vote at all. I see the shareholder apathy towards voting is the biggest issue.
I will vote and I will also ask my friends to vote, come November. Those three are out to steel my money. And yours.
@Carlos Danger, my respect to you. You always think differently. :)
