You can nominate for an open board seat where a current director is retiring or nominating for re-election and so their position is open for shareholders to vote on. Last year the company gave notice of a board position being open to e nomination and only gave 5 days I think for nominations to be received.
Here in this case it looks like they are trying to replace the board with three new directors. This would require I believe a majority of shareholders voting in favour of that spill. That would open all board positions to new nominations which shareholders would vote on.
Seems like they are kicking the tyres to see how many might support them in such a move to 1. Get a motion up to spill the board at the AGM and 2. How likely would the support be to get their nominated persons elected.
The three nominations put forward here add no value to existing shareholders.
It’s a futile attempt by KE, likely with the backing of Cong and possibly Zijin, to get some control of AVZ because they know all their current attempts have failed to steal Manono from AVZ and they are Fucked.

hopefully this new directors distraction goes away quickly. Cant help but think though its only come about due to the total silence from the board and the mushroom treatment of shareholders. Totally understand the need for discretion but its about time avz released more than what they have. If this latest move by the detractors helps force a little more disclosure from the bod, then I'll admit theres a part of me that would be glad.
