They definitely seem to have been blindsided by this. If they truly hadn't received the Decree until it was forwarded to AVZ by the AFR in the form of Timmy TwiddlesHisNuts then that says a lot for our excellent high level government relations NF is always prattling on about between the smirks, nods and winks.
That's the biggest worry about all this. Not the ministerial decrees but the communication between AVZ and DRC government.

After all the bullshit of the past year and apparently being aligned in getting this to mining you'd expect them to be working closely hand in hand.

Pretty good sign in my eyes, he hasn’t got time for that. He is off to find Felix and Antoinette imo

I recommend everyone read this. It seems Cominiere went on the warpath in Dec claiming the licence Decree should be cancelled because AVZ requested the split of the tenement. It also highlights a thrust of a number of other attack strategy darts theyve thrown at the MoM to hit out at AVZ. No wonder on receipt of this the MoM is perhaps concerned about the stay of play at relationship level between us and Cominiere and questioning whether it's tenable. Not saying any of this is legit or unskewed info, but it does lay out a key attack that may have supported the Decree cancellation

Saw this an dismissed it as more mud slinging that has no effect. Ffs.
Our relationship with Cominiere really shouldn’t matter anyhow as they have no capacity to fund 15% so need to sell, state gets the rest.

I don't know how anyone can find a positive part of that shit.

The most important thing of the Announcement:

-ongoing disagreements, conflicts and differences between the shareholders
that have stalled the development of the Manono Project and the resulting
deadlock prevents the State from benefiting from the development of PE

The Company is seeking independent legal advice regarding both Ministerial
Decrees dated 28 January 2023, whilst expediting discussions to clarify the
intentions
of the competent DRC authorities.

Our management had no fucking idea what is coming. There is no communication between avz and the MoM.
If there would be backup by the government, they would made a new decree or talking about possible steps to help us. Instead of saying that the state can not benefit from a PE because of the conflicts between the shareholders. I told Nigel in a email a few months ago that he please don't fight until we loose it all. I think that will happen. The company is part of the ongoing disagreements, conflicts and differences. I believe the situation would be different when we had work with zijin instead of fighting them. But that is to late now. I believe the drc will take the 13359 back with the reason of the conflicts. The IGF had shoot against Dathcom too, not against AVZ but against the JV. So they will cancel the JV and we have to fight for money in the ICC.

If the DRC would want AVZ they would inform the company what will happen, they would talk with us about a new needed deal or anything else.
I dont think the MoM using this new decrees to put pressure of the JV shareholders that they try to find peace with each other, she could have used other ways to do so. I believe this is the beginning of our end.

So are you saying not only do we not receive the ML but they take our entire holding as well? As in we hold 0% ? Despite spending over $100mil and all the work that's been done . They steal the lot ? Backed by the Chinese of course .

I believe that this will be the next step. Because of the on going disagreements, conflicts and differences between the shareholders they will find a way to fuck us. They dont tell us whats coming, in my opinion this tell me they give a fuck about us. They find easy a new partner with a better deal than 10%. In 10+ years no one will remember avz and the struggle with the drc.
What do you think will happen?

I wonder how much of the goatfuck we apparently find ourselves in can be tracked back to being outplayed here by JFM over at CAMI. Here it clearly says WE declared a partial renunciation of PR13359. That renunciation was described as illegal by our partners Cominiere, and indeed it is unlawful under the mining code. Is that misfire going to prove a dire error, trusting it was FTs intent? What ever happened to the maxim, 'trust, but verify'.

Moreover given the estimated resource size of CDL and what it meant to AVZ's current and future market cap, how did we just renounce it. Wouldn't this have needed a shareholder vote? Or did the board just greenlight that own goal, and again without an ounce of thought as to continuous disclosure obligations until they couldnt not announce it?
Surely AVZ do not have the power to override the mining code. If AVZ requested a partial renunciation them surely cami would not allow it, if they did then the responsibility would lay with cami.

CAMi in the form of JFM appeared intent to not only allow it, but push for it with the intent to funnel it to AJN. I sure as heck hope we've got some documentary evidence indicating CAMI told us we'd have to split the tenement because FT wanted that. Just tell me it wasn't on an unrecorded Zoom or phone call.

What exactly is it you think is gonna happen if Cominiere/DRC were to claim back 100% ownership?
  • Pass it off to zijin? Bullshit. Not gonna take the project from the majority holder to give it to someone with a dodgy claim of tiny portion.
  • Develop it themselves? Nope.....
  • Put it up for sale again? Unlikely. Nothing would be more damaging to the DRC's business reputation. And despite slow progress, they are working hard to improve it.
The single best outcome for the DRC to start realising value from Manono is to continue with AVZ as majority holder.
Give-or-take whatever other shenanigans about some minor % ownership disputes. So IMO thinking we could lose the whole thing is ridiculous.

IMO
No other option will get this thing happening faster.
No other option will get this thing happening with fewer disputes than what it already has.
No other option will have a better chance at getting funding.
No other option will result in as much value being returned to DRC citizens.

This is what the dodgies are fighting against, but ultimately these facts IMO will get it over the line.

might be difficult ; it’s no longer split and if it’s no longer split and the section open as application for exploration permit ; then their application is in the bin. AJN have less than $1m in the account , no drill data … you really think they’re on the running for Manono … some people need to chill 😏

It’s all well and good for us to call out this conflict but could anyone actually note where in the asx rule book it addresses conflicts of this nature? If we can see a clear breach, we should all email the company and identify it and demand he sell his portion immediately. Also contact asic. But we need the rules that state it’s illegal.

I'm keeping an open mind for the time being . China obviously the influence here IMO . I'm only guessing , but they might want us sorted before their losing cases come up with the ICC and they are embarrassed as f--k on the world stage . If we do get totally ripped , what then . No doubt we take the DRC gov to court . Can we put a halt on the mine by doing that ? Worst case I'm hoping a settlement can be made . Best case the ML or a TO . If it all goes tits up is Nigel screwed ? That AJN holding of his might come back to bite .

Cominiere's claims to AVZ's initial 60% of Dathcom are a joke imo
