A potential new parter- Complexio
Nailed itIf I were to speculate, perhaps they have secured a deal involving the U.S. military, or big corporate and remaining listed on the ASX would require disclosures that they’d prefer to avoid under its rules..? Lol...
Otherwise such a random timing....
I understand why they need to get away from the "cloud" of ASX reporting requirements (in a good way) so can see why a Dual Listing, won't meet their objectives. You can also look at Genetic Technolgies (ASX GTG) a company which I held shares in about 10 years ago but sold out due to personal reasons (luckily)...they were looking at DNA pre-determined Breast Cancer diagnosis.......delisted and went to NASDAQ........diluted and diluted and now bought out for a song. You can also look at Tritium. Not saying this will happen to us............everyone is worried about the Chinese buying companies out cheap.......I worry that the US play even dirtier tactics to get want they want......hence my stance on a dual listing to start with
Nailed itThat's my hunch.
Big NDA they don't want to risk breaking under our shit asx disclosure rules...
I think this is huge! There is no way we are ready for this unless.......
Here we go...this will seperate the big boys and girls from the the little cry babies ...
I push my chips all in and CALL !......
Nervous and exciting times ahead.... 🫣![]()
Atleast you are persistent with the negative view points. Common mate, please stop. Anyone who knows where galaxycar lives please go around and give him a hug. Thanks in advance.I would even go as far as to ask is management actually working for shareholders or ARM, Get the shares on the US Stock market, fail again for 3-6mths sorry shareholders we tried, but luckily ARM has offered you lucky shareholders a shitful price which we the board and our illustrious failure of a CEO of course approve,no ASX,NO government takeover approval required. THEFT another Aussie company stolen by the big boys. Ask yourself have you seen any evidence that the board and management have been working for shareholder.ABSOLUTELY none.
Smells like someone's having an accident in their pants..Atleast you are persistent with the negative view points. Common mate, please stop. Anyone who knows where galaxycar lives please go around and give him a hug. Thanks in advance.
I wonder whether with Trumps US centric plans, BrainChip needs to become a US company to get US contracts (especially sensitive government ones)I feel the same regarding uncertainty with freedom to trade. However, could be great timing with the recent US Airforce contract for the US investors to push SP up???
Snap!! I should have read your post first!I think you might have hit the nail on the head. The US military is obviously very interested in what we've got and our product will be MUCH easier for them to procure if BRN is a US company. Remember who's in the Whitehouse now. Im sure Trump would "convince" the SEC to allow BRN into the market so that Defence can source our unique technology from a US company..............
What the below statement by Viana says to me is that BRN, as it is currently, will not be the entity we will be invested in directly.I will just paste what the company said about moving:
The key reasons influencing this decision are as follows:
1.
The US market is home to the world’s largest technology investment exchange and most of the world’s largest semiconductor and Artificial Intelligence (AI) companies. It provides access to a substantially larger and highly technologically sophisticated pool of potential investors on a global scale. US technology sector investors are generally more familiar with AI technology companies and have a deeper understanding of valuation methodologies for emerging technology companies like BrainChip.
2.
A US listing has the potential to be a positive revaluation and re-pricing catalyst for all existing BRN shareholders, exposing the Company to the possible entry of new US based technology investors, both institutional and retail, who have previously not been able or willing to invest in BrainChip due to company policies prohibiting foreign investment or other compliance related concerns.
3.
SEC disclosure rules provide greater protection for the Company and our customer’s commercially sensitive information, allowing BrainChip to conduct its commercial activities without the risk of being compelled to disclose confidential and commercially sensitive information that breach Non-Disclosure Agreements (NDA) signed with BrainChip’s customers, commercial ecosystem partners, and licensees thus removing a serious obstacle to commercial success.
4.
A simultaneous delisting from the Australian Securities Exchange (ASX) would reduce regulatory compliance, cost and disclosure obligations that exist in a dual-listed scenario. By pursuing a simultaneous US listing and delisting from the ASX, and the cancellation of the quotation on the OTCQX market and the ADR program, the intended result is a clean and simple transition from one exchange to another with minimal cost and without the regulatory and compliance obligations associated with being dual listed.
BrainChip Chairman, Antonio J. Viana said:
“The decision to explore a US listing was taken after considerable reflection and subject to rigorous Board debate and evaluation.
The Board unanimously believes this strategic decision is in the best interests of our shareholders, our employees, our partners and our existing and future licensees. It will elevate BrainChip’s value and profile on the world’s largest, most dynamic and technology-focused investment market.
In the event we move forward with redomiciling, I want to reassure our valued shareholders, the vast majority of whom are Australian retail investors, they will be able to buy, hold and sell shares of our new US parent company without restrictions once the US listing has taken effect.
I am confident this strategic decision is in the best interests and will be a catalyst for value, appreciation, and continued growth for our Company.”
This announcement is authorised for release by the BRN Board of Directors.
So there you have it!
Does it make any sense? Yes to me it does.

Germany SP is up 15% so the market must like the news
I don't like consolidation of shares, or any more "substantial" dilution.Dingo I read one of your posts today didn’t sound as though you were so convinced either this was a good thing.Price is going one way and as I ve said before every time the board or Sean open their mouth the share price goes down. Remember if they take the share to the USA no more AGM’s in Australia no accountability to Australian shareholders try asking them a question then or asking for a explanation
The only bad thing about this redomiciling to the US is having to wait until late 2025 or early 2026 for it to happen.I don't like consolidation of shares, or any more "substantial" dilution.
I want more shares in this Company, not less.
I've had enough experience with similar situations, where the long standing retail shareholders, get pushed aside and the Company basically "starts again" with fresh new shares and brand new shiny shareholders, holding the new shares that swamp the volume of their now much poorer (in percentage of holdings) counterparts.
This doesn't affect Company employees, or major shareholders, because they get deals in the "New Shares".
I don't like the idea of a NASDAQ listing, because the listing requirements lend themselves more, to that scenario (even at a dollar and much worse, if as current).
If it's a different exchange and the structure isn't shaken up so much, I don't have a problem.
I believe the Company is looking to make themselves hugely successful, but the question is, how much will "we" enjoy of that, or will it be a case of..
"You guys have been Great, thanks, seeya"
The Truth is, that we "could" all get screwed here, 6 ways to Sunday, at this very early stage of the Company and this could be a pivotal turning point in that.
But until we know more details, there's no point in stressing about worse case scenarios, as this could be "The" Master Plan, we've all been hoping for (burn the shorters to a successful US listing).
But if the bus stops and we get told to "stretch our legs" I'm going to stay put.
But whatever the end result, it "has" been a fun ride, hasn't it?..
I'm not sure how you can make that assertion Beebo, when we have absolutely no idea at this stage, what the Company share structure will be like..The only bad thing about this redomiciling to the US is having to wait until late 2025 or early 2026 for it to happen.
