Absolutely correct regarding consolidation in theory.
Perhaps I have just been unlucky, but in each case where I have experienced it in practice, the share price pretty quickly retreated leaving me in a worse position. And I have heard many similar reports from others, although I do not know the veracity of their claims.
In truth, given my relatively small sample of lived experience, perhaps others could inform us all of their experience of consolidation?
Particularly interested in these kind of artificial circumstances where it is done just to engineer a particular share price to accomodate a listing rule.
Consolidation has never been positive in my 20 odd years experience. ALWAYS leads to dilution at some point from what I have witnessed. Worse still is consolidated notes. If any company you are involved with issues these it is time to get out.......it is the death rattle. Never seen a company come out of these it is just a golden handshake for the BOD. Take my advice but DYOR

My "women’s intuition" is telling me this must be good news.

I wouldn’t be shocked if that long-awaited 5-year license gets inked in the next few months, conveniently before the AGM in May.

Let’s not forget that the BOD needs shareholder approval to move forward. And what better way to win us over for a US redomicile than by serving up a massive, juicy incentive first?

My money’s on Arm. It just makes sense to me, given projects like Stargate, Izanagi, the US Iron Dome defense system, and SoftBank/Arm’s grand vision of rolling out their own chips.

As always, time will reveal all.

I like your women's intuition! I really hope you are right. Shareholders must approve, so there must be some incentive otherwise it will never get across the line.

Likely a good move for the future of the company.

Some kind of reverse split is necessary to do that, we are currently on the US OTC at app 18 US cent a share.

OTC is a bad place to be, no institutions buy OTC stocks and no analysts cover them.

In order to get on Nasdaq, I think an SP of $5 is minimum requirement: Jeez, a split of 30/1 in order to get over 5 bucks a share.

So if I am correct, and they do it, we can divide our shares with 30 to see what you will end up with.

I don't know if above is correct or not, please do your own DD.

I think they should do it, I will support the management in this.
Guzzi62 - Not trying to be argumentative, but how can you support management in this if you don't understand what's going to happen (eg a potential split or something else)? None of us know what the end result will be yet, so I will be waiting to hear all of the details before I give my approval or otherwise.

Now today has been a interesting day has’nt, anyone else feel that we are being screwed over by our own management now???
1. Don’t make any announcements that will push up the share price for 3-4 years.
2.Tell us that 2025 is gunna be a great year for the company and all the other bullshit over the last 3-4 years.
3 Hide everything behind NDA’S So shareholders haven’t got a clue what’s going on or if they even exist.
4. Make up more bullshit we have to move to the USstock exchange for the good of the company staying out of the reach of ASX prying eyes.
5 Shareholders value obliterated from say $1.50 to $0.25 cents.
6 We then list on the us stock exchange with our shares worth $0.10 after the massacre to come.
7.US NEWshareholders buy our shares for $0.10 a share.
Does anyone get the feeling that AMERICA,S Have just pulled of the biggest Theft of Australian technology ever seen and our us CEO wants us to trust and believe him and the board. Who have shown shareholders nothing but distance and avoidance over the last 4 years.
This AGM just got better this is the most disgusting ripoff of Australian shareholders since Alan bond days.

Gees you need to stop talking so much negative BS mate. The ASX is a shit show that loves the shorters and manipulation. I’m glad the BOD are putting up their middle fingers (my view) to the ASX and going to the US (fingers crossed) Looking forward to it and hope the move is not blocked by shareholders and Australian courts.
I would love the shorters be punished with a short squeeze forcing them to sell before delisting on ASX. Fingers and toes crossed. Cheers

Well it sure would be good if the sp was actually $6aud then there would be no need for any share consolidation and would there and the number of shares would remaining the same over 1000mill shares.

Interestingly is I don't think that the 1250 unrestricted held shares would apply in the case above nor any more shares required as I looked at the number of arm holding shares on nasdaq and looks like they are under the 1250mill at 1052mil. In any case if we get to $6aud this point would be moot anyway.

Will be an interesting next few months. I've set up my commsec trading international account a few minutes ago and seemed pretty simple to do.

I think they should do it, I will support the management in this.
But America is in the northern hemisphere, so that would be a 30/1 consolidation.

I really dont like that we are 15 staff less than last year
They closed the Perth innovation centre. Makes sense, the people that went to the states work directly with the cto. Don’t need to pay an innovation centre manager and other support staff.

I think its a good move to list in the US. I think it likely means that we are expecting to see an accelerated pick in news concerning engagements coming to fruition.
I think long term it will be very good for the company and its growth.. .. and our wealth.
Now we know why they organised the LDA funding.
Probably the reason Anil Mankar sold the shares? Not sure of the Tax position.
I am very positive about this.


Funny how quite a few people on here are being negative about a possible move to the NASDAQ. Before this announcement it seamed as though most were favourable for this and now you're all starting to get worried about it. I personally support the idea.
Also, I don't see how a consolidation of shares (ie 30:1) would have a negative impact on shareholders as the SP of the consolidated shares would higher by the same multiple?

Then you will see institutional ownership amounts and vanguard owns over 50mil across multiple funds. Here's an example of just 2 Vanguard funds which hold over 25mil between the two of them.

Really sorry dear, there is nothing clear from this screenshot. Even there is no brn mentioned anywhere.
Brainchip told us they will release top 20 holders with each 4c but they are tentatively keeping it in hiding from broader market.
As per known lists till date there is no mention of vanguard and associates in top 20.
May be they invested with another NDA that brainchip will not show top 20 to anyone.

Also, hearing murmurs in my experience working in Web 3 the last few years, Blackrock are the main backers behind it and are trying to tokenise everything at the moment.
It is possible that all this old fashioned convertible notes business will be a thing of the past. Best case scenario, is that our shares stay exactly where they are with Boardroom and are tokenised and converted digitally (on Blockchain) onto the Texas SE. When we buy/sell our shares, it can all be done in AUD and converted digitally and automatically.

Tokenisation is already happening mostly with Real Estate but this space is moving fast.

Boart Longyear was a doozy......1000:1 consolidation I think from memory. Went to Canada I think but yeah a mining company so different sectors make a difference. Time will tell.......again

Those with shares in super funds will be hoping the funds do the right thing.
The funds actually hold the shares in their name on a members behalf. The member can buy and sell them etc. The fund gets the voting rights etc.
For example Australian Super is a huge fund and would have a quite a few members holding BRN.
The US shares will be issued to Australia super on members behalf.
Not sure whether the fund will sell them and credit the funds to members accounts or allow members to hold them within the fund. In Australian Super case its Members Direct.
I would be asking to see fund guidelines. Funds will want to take the easy way out.

The fear is not about Nasdaq listing but the way they want to implement things. Like there will be no adr on asx. We are finding it difficult other than LDA to raise capital and want to list on NASDAQ.
So unless the management comes out with a definitive strategy and a road map fear is the most understandable thing.
On top on a few occasions management is not very transparent with the holders either.
