Subject: (ST) - AVZ Minerals Limited Buyback offer

Dear Client,
AVZ Minerals Limited has announced an off market buy back tender of some or all of your fully paid ordinary shares in the company.
Under the buyback process, eligible holders will be able to tender their ordinary shares at a fixed price of AUD 0.01 per share.
The company advised that you may tender partially or for your entire holding. In the event the company receives applications in excess of the offer amount, shareholders will be scaled back pro rata on the number of shares.....

.............................................................................................................................................................................

Surely the first sentence here should come under some legal scrutiny. Someone purporting to be someone else to attempt to mislead others can't be legal. In the business sense shouldn't ASIC look at this?
Hoping AVZ lawyers have had a good read and adding to the list of future law suits.

Anyone thinking of selling hopefully would reach out to SH on here for a discussion and not believe the $0.01 dribble coming from our detractors/MMGA/Fat tail/ Zijin/ Carrotdick and others.

GLTAH. The good guys will win out.

I have met @John25 personally at the previous AGM, really nice bloke, kept us all amused with his great humour before AVZ suspension and after on HC & TSE forums......... everyone knew he had health issues, but never in a million years did i think we would be discussing his death .

Really sad he wasnt able to enjoy retirement with his AVZ wealth, forced to go back to full time work due to the crooks from Cominiere / Zijin / MAGA brigade etc stealing it from him, almost certain that this stressful 2+yr suspension + work commitments at his age, caused his demise.....:(:cautious::poop::ninja:

It's the same offer from Resource Capital.
It was never a 'takeover offer' as the original Australian Super emails that went around, it has always been a share purchase offer (takeovers are subject to different rules).

Each platform just has different ways of communicating and deadlines with regards to voluntary corporate actions.

Don't stress, it's nothing new.

It’s another offer like the original ones. First one trying to make out there was a takeover and this one trying to make out there’s a buyback - Both appear misleading

Plenty of evidence for AVZ to produce at the WA Supreme Court.

It supposedly targeted institutional, superannuation, and sophisticated investors but now appears to target retail investors.

The funds and share platforms that sent out these emails should be held accountable as well as shareholders have been caught out by these emails stating a takeover or buyback

At least the shareholders on TSE are on to them pretty quickly and already shared this info 👇

Member Direct alert: AVZ.AU Takeover

Dear xxxxxxxxxxxxxx
As you hold shares in AVZ Minerals Limited - Delisted (AVZ.AU), you are able to participate in the recently announced Takeover. This is an elective Corporate Action, meaning you don't need to do anything if you don't want to.
Key details:
  • Record date: 28/06/2024
  • Member Direct election cut-off: 01/07/2024
Record date
Your entitlement to participate will be based on your shareholding on the record date of 28/06/2024 and visible in your portfolio holdings from that date. Please consider this if you intend to buy or sell shares in AVZ.AU before then as it may affect your Takeover entitlement.
Member Direct election cut-off
Please submit your election through Member Direct if you wish to participate. The final date for submitting your decision is 01/07/2024. This is earlier than if you held these shares outside of Member Direct as we need time to process elections for all members and submit them to the registrar.

This is pretty obvious orchestrated by the Chinese to be as obstructive as possible.

Pull a stint like this, get some people up in arms and insisting the company has to react.

Just see these manoeuvres for what they are and allow the company to get on with its work, with the limited resources they have.

The Company has time and time again made statements not to believe this type of shit.

If AVZ was worthless and has no chance in the courts, this would not happen.

Carrotdick and cohorts are picking up a couple of breadcrumbs by behaving like absolute dicks.
However their behaviour should make it clear there is a reason they are prepared to throw their business name in Australia in the gutter for a Chinese state owned company. And it is not because AVZ is worthless.

I hope the Australian business community will see these arseholes for what they are and in future stay well clear of them.
Carrotdick and the other scumbags are on the Chinese payroll imo. The objective is to roll the BoD ,put a stop to all legal proceedings ICC/ICSID and demolish AVZ into extinction rat f--king all shareholders . MoU is part of the tactics . It's a load of bollocks to stall and drag it out in order for all these dirty tactics to unfold . They are a bunch of low life c--ts IMO.

Time for a few positive progress reports Nigel . Best way to sh1t can this sabotaging scumbag's offer is with positive news .You could start with announcing secured funding $$$. No share holder in their right mind would even consider flicking their shares for 1 cent if the $$$$ are secured to sue for compensation at ICSID . It's that simple . Announce funding $$$ and these thieving criminal attempts are dead in the water .imo

Yeah, but there's going to be a long line of us. $12, 2 x AVZ caps, and a pair of AVZ branded ball-kicking boots.

One good thing to come out of these bullshit offers is that it’s increased the regularity of communication from the company 😎😂

AVZ announcement below

Further Unsolicited Offer Communications
AVZ Minerals Limited (AVZ or Company) is aware that IG Markets sent unsolicited
offers to AVZ shareholders today purporting a Company buy back of shares at
$0.01 per share (IG Communications) which is categorially incorrect.
IG Markets has acknowledged their error and will be issuing a corrective statement
to its clients.
The Company advises Shareholders to take NO ACTION with respect to the
IG Communications.
Offer to Professional and Sophisticated Investors
As announced on 25 June 2024, the Company reiterates that Shareholders take
NO ACTION with respect to a share purchase offer (Offer) made by Resource
Capital Investments Pty Ltd (Resource Capital) on 18 June 2024 at $0.01 per share
to professional or sophisticated investors only .
AVZ’s Directors have reviewed the Offer documents and unanimously recommend
that you REJECT the Offer and DO NOTHING in relation to any documents
received from Resource Capital. The Board recommends AVZ shareholders retain
your shareholding. Do not surrender your AVZ shares to this opportunistic bidder
at a price that does not reflect the underlying value of your shares.
Please refer to the Company’s announcement dated 25 June 2024 for further
details regarding the Offer and the reasons for the AVZ board of directors’
recommendation.
Where any AVZ shareholder has received an unsolicited offer, the Company
recommends that you:
1. Carefully consider the offeror’s purported fair estimate for AVZ shares and
whether that value aligns with your view.
2. Seek independent financial advice.
If shareholders wish to share any unsolicited offers they have received with the
Company, you may do so by emailing the relevant correspondence to
admin@avzminerals.com.au.
This announcement was authorised for release by the board of directors of AVZ
Minerals Limited.
