There’s probably merit in a lot of the criticism of Nigel and BOD but more than likely (as usual) he is trying to steer the narrative against Nigel and BOD when we are trying keep it on Cominiere, Zigin and Dathomir’s illegal and fraudulent attempts at extortion aimed at ripping us and the DRC off.
The company had good reasons for their actions and more importantly AVZ’s actions were legal…. Der geist has been trying to undermine AVZ ever since

How come he was pushing it so hard?
It wasn't to protect shareholders, he was in on the shorting game and that game is to drive down shareholder sentiment.
He never got traction with it though, and It wouldn't suprise me if he was in cahoots with Zijin, who had to go to ICC for shareholders to take notice.
For a long time he tried to turn us against management with his several acounts here, at one point stating something like "remember the BOD are the enemy guys."
Our real enemies are trying to push alternate agendas, change the focus, switch the discussion.
One which has been a little successful is the price AVZ payed for it's 60%, which gained some traction with the congolese. We've been slowly stamping out that narrative on twitter. That cockhead of Cominiere was even pushing that on TV.

To avoid any ambiguity, it should be specified that if COMINIERE fails to legally and effectively transfer the mining right of the Target Party to the Joint Venture, COMINIERE will not have the right to demand from JIN CHENG the retrocession of 15 % of shares in DATHCOM, nor the waiver of the payment it made for the acquisition of 15% in the capital of DATHCOM on behalf of COMINIERE.
3. When applying this offer, COMINIERE will promise that any income tax, stamp duty, transfer tax and any other taxes that may arise in Congo (Kinshasa) and any other countries or regions due to the above-mentioned "15% equity return" will be borne by COMINIERE bear.
3. Pursuant to this Offer, COMINIERE will undertake to pay any income tax, stamp duty, transfer duty and any other tax or duty which may arise in the DRC and in any other | country or region following the aforementioned “15% Share Retrocession”.
4. Both parties and their directors, managers, employees, and agents shall keep this letter and this offer strictly confidential. without the prior written consent of the parties

This was the part of the Zijin letter with the proposition to acquire 70% of 13359 north, which is not possible anymore, blocked by re-uniting 13359 to one lease.
However Zijin makes it abundantly clear here, that it has no intention to hand the 15% of Dathcom back to Cominière and be mister nice guy.
I think it is the problem, which will not be solved without Presidential intervention.

The letter from Cominiere to the Minister of Mines that she cites in the new decrees is CEM/DG/138/ckk/2022. I posted CEM/DG/140/ckk/2022 yesterday which is addressed to 'Monsieur le Chef du Guichet Unique de Création d'Entreprise Antenne de Lubumbashi et Responsable du Registre de commerce et du crédit mobilier à Lubumbashi'. Both written on the the 6th of December 2022.I tried to answer all the things CKK put in his letter to Antoinette N’samba on the other thread but no one usually looks their so I put my answers here. Just answered off the top of my head and probably just pretty obvious to most shareholders anyway…. Hopefully @Carlos Danger knows where the actual documents are
1) In a catiline-style letter, the DG ai of La Cominière, Célestin Kibeya Kabemba, complains to the Minister of Mines, Antoinette Samba Kalambay, reserving a copy to the President of the Republic, the Prime Minister, the Chambers that the DRC is in the process of to lose one of the world's largest deposits of lithium in its possession…..
Answer: It was Cominiere who sold the remaining percentages of the project to Zigin for $33 mill, with a $6 mill deposit, of which there is no trace in the Treasury
2) AVZ, an Australian company, is scheming, not without complicity, to steal everything from Cominière: lithium deposits, Mpiana Mwanga power plant
Answer: AVZ had a FROR contract with Cominiere to purchase 15% of Cominiere’s remaining 25%, but Cominiere illegally sold their shares in Dathcom to Zigin (see IGF Report)
3) The DG ai Célestin Kibeya Kabemba of Cominière SA, learned this at his expense, when on April 1, 2022, without title or quality, a certain TSHISEKE requested and obtained from the Mining Cadastre (CAMI) the transfer of the research permit assigned to Dathcom mining into an exploitation permit.
Answer: Once all requirements for the ML were attained the next part of the process is obviously to apply for the ML
4) Six days later, the Minister of Mines, Antoinette Samba Kalambay, signed two related decrees.
Answer: The only questions there are why and how was the tenement split
5) The DG ai Kibeya Kabemba maintains that there is to date no agent of Cominière SA, in the joint venture Dathcom mining, created between Cominiere and the Australian firm AVZ.
Answer: Because Cominiere illegally sold all its shares to Zigin and MMC
6) La Cominière cries out for a lack of transparency in fundraising operations
Answer: AVZ raised funds through publicly notified capital raises to retail and sophisticated investors…. That actually diluted the company’s own stock value
7) Cominière accuses AVZ of never communicating to it the financial statements of the Dathcom mining joint venture
Answer: AVZ has documented proof that it communicated all financial statements to Cominiere
8) CKK presumes over-invoicing of certain adjoining projects of which Cominiere was never aware, such is the case of the Manono camp which AVZ estimated at two million dollars.
Answer: To be added…. But a laughable statement considering Cominiere’s illegal sale of shares to Zigin (valued at $150mil) for $33mil (and the $6mil extorted in the transaction)
9) The mining company (AVZ) claims to have injected 70 million dollars into the Dathcom mining project at the exploration stage
Answer: Refer to AVZ achievements over the last 6 years, plus money raised to legally acquire shares in Dathcom
10) AVZ has also taken the liberty of signing sub-contracts without ever involving the partner Cominière. “The Congolese State has therefore lost all control in this company [Dathcom mining] in which its interests should be well defended by Cominière”.
Answer: AVZ is majority owner, has raised the finances and has carried out all the work and informed Cominiere of every step
11) AVZ paid for the audacity of dispensing with the favorable opinion of Cominière in order to convert the exploration permit granted to it into an exploitation permit with the Mining Registry (CAMI) .
Answer: Cominiere basically admitting to being the ones behind CAMI not granting the ML (IMO)
12) AVZ having obtained the property of the hydroelectric power station of Mpiana Mwanga, thus dispossessing the Congolese State of one of its inalienable heritages…. now, the firm AVZ Power, presented as a subsidiary of AVZ Minervals, even obtained the signing of a contract from the Minister of Water Resources and Electricity, Mukaleng, to rehabilitate the Mpiana Mwanga power plant
Answer: Refer AVZ MOU with Minister of Water Resources
13) Mr. Graeme Johnson of AVZ changed the capital of Dathcom mining to the detriment of the State by increasing AVZ from 60 to 75% at the level of the Single Window for Creation companies (GUCE)not without internal complicity.
Answer: AVZ legally purchased an extra 15% shares from Dathomir as per legal contract
14) AVZ convened a meeting of the board of directors of Dathcom mining to record the transfer of its 75% of the shares in Dathcom mining
Answer: Shares were legally acquired as per contract
15) La Cominière seized the CAMI, the commercial court to obtain precautionary measures.
Answer: Again, is this the reason CAMI refused to calculate surface rights and grant the ML!
16) Naturally, all interested authorities in the country have been made aware of AVZ's reprehensible practices, starting with the Minister of Mines herself.

Cominiere have signed that offer from Zijin imo
Which if true means the DRC government is liable if the contract isn't delivered. That's why we are now being forced to come to an agreement with Cominiere and the licence has been delayed until we do imo
If we accept Zijin in Dathcom or give them the north then all of the DRC government's problems go away. Especially the MoP who somehow kept her job despite being specifically named as a culprit in the selling off of the states assets way below market value in the IGF report.
Do you think Nigel is now considering one of these options ?
My thinking has always been Zijin do not want AVZ/Dath in control of the project . If they can get Nth CDL they get the control and the 15% comes back to us .We power on with Roch/Sth CDL until offers start coming in . Nigel didn't sound too fussed about the Nth at the AGM .

No. The tone and content of the announcement on Friday indicated that we are still maintaining our rights. Ultimately it will cost the DRC government more to rat fuck us than Zijin.
While the meeting in Manono last week was billed as an event to bring the parties together, it was definitely more about making Cominiere look stupid imo. Although CKK has been doing a great job of that all on his own by being a clown in interviews.
It's a game of high brinkmanship and Nigel hasn't blinked yet. I think he is a better poker player than most give him credit for. Pocket aces only have an 80% chance of winning but you play them every single time.
So what you are saying is there are good and not so good options that can be taken ? The point being are these options we can fall back on if we are unsuccessful in pursuing what is rightfully ours ? You've always given me impression AVZ cannot lose everything . How serious do you think the MoM was when she said Manono is a matter of urgency ?

I think the plan is to get Felix to intervene
It's been 2 months and the MoM hasn't acted on the urgency. We are just left to work something out with Cominiere. So management are putting pressure on Cominiere to have the negotiations in public which they are trying to avoid for obvious reasons.
The problem is we are in this situation because Felix has chosen a coalition for reelection rather than supporting the IGF. So it's a big risk that he will act in our favour. If all else fails we will sell rather than operating with hostile entities in an environment where laws aren't respected imo
I mean reading this you can see why the MoM cancelled the ML decrees, even if we know the contained allegations to be baseless. For an actor without all the pertinent facts and being swayed by Chinese whispers and those of the MoP and CAMI, this could represent a pretty damning indictment of AVZ and our activities.
What a shit-fight we are in. If the scenario ever eventuates that we are stripped of our licence, these claims along with the strategic national interest will no doubt form the basis of the justification presented to the wider investor community.
I don't envy our management trying to overcome this level of institutionalised corruption in such a dog-eat-dog environment. Best of luck to them, and fingers crossed for us all. I think we still stand a good chance of success, or at least reaching an outcome that won't see Nigel throwing himself off the roof of the Lubumbashi opera house.

It would be a mistake to cede the north to them. If they are willing to play these games to date, by having them as neighbors you already have the precedent of unethical dealings. It's blatantly clear that Zijin have connections in all the right high ranking places. It's my fear that AVZ would be cannon fodder down the track with delays in issuing permits, delays in roadworks, SEZ exclusion etc. If competing with Zijin to build up the mine and sell the first SPOD, they will do everything in their power to make sure AVZ dont come up on top IMO
