BRN Discussion Ongoing

Can someone please tell me what Pia Turcinov has done for our company and why one would vote yes to re-elect her? I understand that we know very little about what some of the directors do, but all the others have been vocal in one form or another, and have at times been seen to discuss BRN in some sort of public sense. I have not seen anything from Pia about Brainchip, yet she does post and have a presence on Linkedin about many other topics, but not us.

https://brainchip.com/company/

Ms. Turcinov is the Chair of the Remuneration and Nominations Committee. In 2023, Ms. Turcinov was recognized for her significant service to technology and innovation, and to women in STEM, by the award of Member (AM) in the General Division of the Order of Australia. With a focus on opportunities which innovation, technology and diversification offer, Ms. Turcinov has 30 years experience across private, not-for-profit and government sectors. Commencing her career as a corporate lawyer, Ms. Turcinov, later practiced commercial law in Western Australia. Her career progression evolved from legal advisor to commercial director, holding both senior-level positions and providing leadership and governance as a company director across a wide-range of businesses. She has also facilitated innovation through a number of State and Federal Government initiatives. Ms. Turcinov shares her expertise as an advisor, mentor and facilitator, as well as a keynote speaker on topics relating to future skills, innovation, diversity and STEM. As the mother of three daughters, she remains an ever-enthusiastic champion for diversity, equality and enabling female entrepreneurship. Ms. Turcinov was awarded the 2018 Excellence in Gender Equity Promotion Award by the United Nations Association of Australia (WA Division) Inc. In 2023, Pia was recognized for her significant service to technology and innovation, and to women in STEM, by the award of Member (AM) in the General Division of the Order of Australia.

The work of the remuneration committee would be to some extent commercial-in-confidence as it would be unwise to let competitors see behind the curtain.

Clearly she is well regarded in the world of technology and innovation. Since she is from WA and involved in technology and innovation, it is not beyond the bounds of possibility that PvdM was involved in Ms Turcinov's appointment.

In my view, Peter is in a better position to assess her worth to the company than someone who is unfamiliar with her achievements and business connexions.

Powerline communication has been around for donkey's years. The antique off-peak hot water system was controlled by HF bursts sent over the 3-phase 240 v domestic electricity supply. More sophisticated systems were proposed in the 1970s and 80s. One problem is that they are open for interception and hacking.

Internal systems within a building are also possible and a little more secure but still vulnerable.

Firstly, I support the right for each shareholder to vote as they see appropriate.

In regards to my situation I intend to vote yes to all. I believe Sean has done an excellent job to date and is well and truly the driving force (relentless) behind making Brainchip a commercial success. He took over the helm of a company that definitely needed serious attention to succeed and has achieved great outcomes in a relatively short time frame - have all his decisions been spot on? I think not but overall yes. As a sidenote, the development/research side has always been beyond brilliant - congrats to Peter, Anil and team and going forward, Tony Lewis.

There are a minority of Board members that I feel are just filling seats but I accept I don't what they may be contributing in the background and can be discussed openly. However, for the continued stability of the company, I see this year as a pivotal year where distractions (Board Spill) are detrimental to us succeeding in the current timeframe / plan.

If the Board is spilled then for all the extra finances and time required to organise the EGM who is going to replace any or all of the current Board members? Sean is not affected by the spill vote although I do believe being a Board member and the CEO (as currently displayed on the Brainchip website) is not the way forward as I do see this as a conflict of interest.

In terms of bringing shareholders along the journey with Brainchip and keeping us updated on the now and long term financial goals I think this is the biggest area that is lacking and still needs attention.

GLTA

This is not financial advice, DYOR
If you intend to vote YES for all and you do not wish to have a spill in case the NO's get up with a successful 2nd strike then you need to vote NO for the last Agenda item which asks whether you favour a spill.

Veritas Capital bought Frontgrade Gaisler (and 44 others) technology companies with good potentials and grow them to become profitable, the below link shows their approach on how they select which company to buy and how they grow them into profitable company. So what do you think will happen after FG comes out with a AI enabled SoC with akida inside?
Too bad they don't sell stocks.
EDIT: But The Carlyle Group does. ;)

I spoke with Peter about Pia's appointment not long after, he was involved and holds her in high respect, she was there at the beginning
of Brainchip's journey in Perth at the Innovation Centre, she has and I believe does open doors within government, in fact organizing the
local minister of Technology and Innovation to visit the Brainchip Research Institute a few years ago.

The same criticism could be dished out to Geoff Carrick, is he promoting Brainchip to Institutional Investment houses ?

Either way, I'd like to see 3 NED's Australian based remain on the Board....Tech.

This is the problem Tech, some of the Directors may be providing great support and services to the company or not…how is the contribution assessed. Same with the multiple engineers, are they working with clients to help incorporate Akida into their products or working in-house on expanding product offering. So much information can be easily shared without compromising any NDAs.

Unfortunately these are internal discussions and shareholders have to acknowledge management are doing all that checking behind the scenes. Clearly the guests we have seen on previous podcasts such as Dell are presenting edge technology.
I firmly believe that we shareholders will be rewarded this year as there is too much going on for us not to succeed.

It's really interesting how some people interpret a company's progress. The fact that many here and myself included have to address this repeatedly surprises me. Just because revenues and stock prices aren't skyrocketing doesn't mean the team isn't working. It's a system that has to function as a whole, and everything needs to come together at the right moment for success. You can't skip steps and expect immediate revenue. When I have an idea for a product (especially in such a complex area as a startup), it means development, improvement, development, optimization, development, fine-tuning, etc. Even the simplest product is continuously tested and optimized with selected "customers" or partners before being launched into the market as a finished product. (People who have started their own businesses know this by first giving their product to their friends, acquaintances, and family to test to see how it's received and what needs to be improved.) So just because you think someone isn't doing anything because you can't see what they're doing doesn't mean it's true. We should all not take ourselves too seriously and not lean out the window. If someone is dissatisfied, they should sell their shares and invest their money elsewhere. It's slowly becoming annoying to constantly interfere in internal matters and act important. I've commented on this before. It's no wonder companies then shake off their small investors through RS or other measures. There have been cases where companies have subsequently withdrawn from the stock market to finally focus on the core of their work. But then the hullabaloo starts again... as always... Have a great weekend! I can smell the feedback already coming from some users… cheers

It's an easy point of attack for the shorter's and would be manipulators.

They will twist any news or development to the negative, downplay any progress with nit picking of packaging, presentation or personality trait and endeavour to sow Fear Uncertainty Doubt amongst holders with questions designed to initiate same.

Particularly where BrainChip is playing, right out on the edge of the possible, companies will naturally opt for secrecy about both their products and their internal operations until such time as they are ready to promote them.
It is a constantly evolving environment and at this stage who knows quite what, will be commercially successful?
We operate within an eco-system which is itself enmeshed in greater eco-systems continually spinning out both novel and iterative improvements in multiple technologies.

I get it, we who have invested some money in the hope of multiplying our initial stake get antsy when the share price barometer falls, but lets face it, unless you're currently holding about 20 million shares your actual influence is limited to about 1 percent voting rights.

Huffing and puffing either here or over on the crapper is mainly over inflated ego's letting off a little steam.
What the likes of T&J lack in credibility they try and make up for with snideness and repetition. 🤣

A horrid way to eke out a living, or worse yet, obtain perverted gratification from.

Interesting I thought Frontgrade was a small company but they have some momentum I'm weighing in this partnership much higher now then I thought. Take it not all jobs are related to Neuromorphic but I do find the announcment timing quite interesting to the new jobs posted 9 hours ago.

Also people really need to question the motives of BRN management with there staff levels and continuity in hiring more engineers. If there was no prospect our highly paid officials would have just reduced costs to kick a can down the road for another year or 2 of salaries. No they are increasing head count and moving along. Something must be up there are no signs that the company is failing in my opinion more is there signs that their product on offer is not being evaluated and possibly worked into products.

I will here yeah no revenue I agree it is frustrating you would think that we would get some engineering fees but it looks like the JV require BRN to put investment capital in to the product be it labour or some chip runs what ever.

This is one reason it's hard to support the side that nothing has been delivered. Cause it's not true and if Sean says that they have not lost a deal yet but none have been signed take it for what it is. BRN do not have their technology in every deal announced otherwise they would need staff of 1000

Hi, just wondering if all shareholders will receive a Notice of Meeting email regarding the AGM of 2024? As I haven't got it so far but in the last few years I did receive emails. If I don't have a username, how could I access the vote online?

Not sure if you are one, but I don’t believe BRCHF holders have voting rights. I emailed IR today (Friday in Cali), so hope to get a reply Monday.

I rang Boardroom 1300 737 760 in Australia or +61 2 9290 9600 if outside and quoted my CHESS number and they emailed me the links. Voting was pretty easy. I was happy to vote for all except the last which was against the spill. I hope this helps.
