Questions For Nigel At The 2022 AGM

For you @BEISHA

1) What is the latest information / outcome on the Darthomir Claim/ Court Case
- Don’t waste too much time on this, just press Nigel for an answer and move on…. more important questions to answer!

2) What is the latest information / outcome on the ICC claim by Zigin
- Same as above re time
- Don’t waste time asking about boatman, it is less important and also time wasting

3) @CeckRaiseFold…. Please explain in more detail what exactly needs further finalisation to allow a release of an announcement with respect to AVZ' mining and exploration rights for the Manono Lithium and Tin Project".
- What has changed regarding the DRC government approving our ML since the Technical Approval was given

4) Do you foresee Dathomir (Simon Cong), Cominiere, or Zigin continuing to obstruct our progress or making alternate offers or claims

5) Given the significance and massive capital potential of this project, are there offers on the table and what indications are there of further suspension due to other entities wanting a piece of our project

6) How much has this delay affected our
a) Operating capital
b) BFS
c) Financing options
d) Ability to reach FID
e) Time to construction

7) Are there going to be changes to our offtakes or production due to the DRC wanting to value add and process materials mined in Africa

8) Other shareholders can add input from here…. But I would definitely be asking questions about Chinese involvement!!!!

9) Also worth asking exactly what BOD members have been doing to warrant their current allocation of shares, and point out that BOD and Executives have NOT contributed to buying shares
- Could be a tricky subject given Chinese hold over 20% of our shares and may try to use this to get a seat on the BOD and undermine us in other ways
- @Retrobyte…. Why has nothing been officially communicated by the company regarding the reported conviction and sentencing of Graeme Johnston

10) You could also highlight (by asking questions about) what AVZ has done and how much money we have spent to get this project to ML (including JORC Drilling / Assays; DFS; Sustainability Report; Arranging Offtakes and Financing etc)

Hope this gets you and others started BEISH

As suggested by @Frank and @Misfits below, these and other questions could be asked prior to the AGM, but probably need to be structured in an orderly way ahead of them being asked…. These are just a few off the top of my head, I’m sure there are many more questions.

I would add that I reckon Nigel is already as frustrated as us, and probably embarrassed and annoyed about the missed forecasts and delays

Pretty much covers my main concerns. I’d ask about the new timelines for our mine and when they are expecting to start construction. (Imminently😒)

Agree, quite possibly most of these questions will have been answered before the AGM. And possibly have the ML

I agree with Misfits - unless the mention of Roadshows is a highly cynical attempt to allay some of the (genuine) frustration apparent across a range of shareholders, then I think we will have all the answers to all of our questions before the AGM in late November. I took the comments in the announcement as a strong hint that we are close to resolutions of a lot of matters.

That said, doesn't do any harm to be armed with a sensible set of questions

Moneybags' set are very sensible - he must be currently lucid :ROFLMAO::ROFLMAO::ROFLMAO::ROFLMAO:

1 . Could they please relay the thoughts of Mr Pei & CATH on our current situation ?
2 . Have we done absolutely everything that is required to the letter of the law so that we can retain as much of CDL as we are legally entitled to ?

Just trying to help X. But mate, I can tell you a few things about Presentations and AGM’s that I have experience in

Once shareholders start asking hard or controversial questions, management are quick to shut them down and move on without answering them. This has happened to me with several companies which is why I get in early with my questions to prevent them saying they’ve ran out of time.

At the AVZ Sydney presentation, I was one of only three or four people who asked questions and when my questions to Nigel got a bit tricky he suggested it was time for refreshments and that was the end of questions (which wasn’t much time!)

I got more answers from him by speaking to him and pressing him one on one while other shareholders were busy eating the shit food they had and talking about PLS and LTR (which was good for me because I wasn’t there to talk shit, I was there to question Nigel).

Even when other shareholders came over and joined us, they were asking unrelated questions (about other lithium companies like PLS etc) rather than AVZ which is when I thanked Nigel and walked off.

Shareholders thinking they are going to go to presentations and are going to get all the answers should have some sort of strategy. Some people here think that I think I know everything…. I fucken don’t, nor do I think it…. I just ask questions and take an interest in what I invest in, and I’ve tried to be helpful on this forum while having a little fun

@bloke383 I think questions about CATH are good, but I suspect they are as sus as Zigin, Lithium Plus and the other Chinese arseholes that are trying to get tenements in Manono.

Hopefully you and others like @Xerof will go to the presentations and be able to bring back as much info to the ‘Discussion’ thread as possible because I can’t see Nigel giving the answers everyone here is looking for

Good list so far. I'd also like to know why nothing has been communicated officially by the company about the reported conviction and sentencing of Graeme Johnston. Seems material and quite important for shareholders to know that the company's Technical Director has been charged with an offence and to understand the current status of that matter

I have commented on this before, but I was shocked at how they shut down the Q&A from the floor at the last AGM. With hindsight it is now obvious to me why - they didn't want anyone asking awkward questions about Z, DATHOMIR, Johnson, etc, and they wanted their PF's approved. At that time, I suspect very few knew about the irregularities over ownership, kudos to der geist who may have been on to it at that time (??)

If anyone has got any suggestions on questions like @Retrobyte (above) I could slot them into the opening post on this thread (like I did Retro’s) so they are addressed in an orderly manner for @BEISHA and his ‘Think Tank’

Good to see some here being proactive, maybe even BEISH or @JAG could email the questions to AVZ ahead of the first Presentation or AGM so they had no excuses for not answering (or alternatively, for those more sceptical…. could come up with bullshit excuses for not answering) questions.

Now I’m fucken out of here

Great stuff @MoneyBags1348

Being prepared for all possibilities and having questions locked and loaded just in case is a great idea. If and that's an if items get announced then we can just cross off that particular question.

I think this is an excellent idea, so they know exactly what is going to be asked of them at the AGM. I have recently emailed them and got a pretty lengthy reply, which I was very surprised about, so it seems that emails are actually being read and taken seriously.

The only extra thing would be if a bunch of holders were able to somehow sign the question document, similar to a petition, so that they know its not just one or two who support the questions.

Perfect questions 1 through 5. Maybe swap number 3 with "please explain in more detail what exactly needs further finalisation to allow a release of an announcement with respect to AVZ' mining and exploration rights for the Manono Lithium and Tin Project".

Best strategy if one of us gets shut-down or receives an unsatisfactory answer is for someone else to press the same issue, don't allow the BoD to side-step and move on.

Thought I’d add this question here before I work out where to put it in the list of questions for @BEISHA to the AGM or Roadshow

Why is it that AVZ shareholder’s always have to do the research and digging themselves to find out what management are up to regarding this company, which by the way is more ours than management’s because many of us have actually invested more of our own money in this company than the BOD and Executive’s who have invested fuck all in capital and fuck all in time towards this company by comparison.

Case in point: Geumyang MOU

REFINEMENT OF QUESTIONS TO ASK NIGEL / BOD FOR UPCOMING PERTH ROADSHOW 31 / 10/12

1) When were you aware of the Zijin / Cominiere transaction of 15% and why you did not disclose this information to the ASX / AVZ shareholders ?

2) When were you aware of Dathomir / Simon Cong disputing the 15% transfer to Dathcom / AVZ and why you did not disclose this to the ASX / AVZ shareholders ?

3) Is the BOD compliant with LISTING RULE 3.1 of the ASX code ?.........CONTINUOUS DISCLOSURE.

" A ENTITY MUST DISCLOSE ALL INFORMATION CONCERNING IT THAT IT BECOMES AWARE OF FROM ANY SOURCE AND OF ANY CHARACTER, IF A REASONABLE PERSON WOULD EXPECT THE INFORMATION TO HAVE A MATERIAL EFFECT ON THE PRICE OR VALUE OF ITS SECURITIES "

May i remind you, there was a MASSIVE sell off just after the award of the Mining License decree, was there inside information behind that ?

4) Is the end of extension of suspension of AVZ shares relying on the outcomes of ICC arbitration regards to Zijin ( April 2023 ) and / or Dathomir / Cong ? Are there any updates to these court cases that you can share ?

5) Are these 2 disputes the reason for the extension of suspension or are there other complications, such as the exploration permit regarding CDL , surface rights payment or other ?

6) How are the two court cases with Dathomir / Zijin effecting the JV relationship with CATH and their 24% interest in
Manono ?
What happens if we lose both court cases, therefore relinquishing 51% control if we assume CATH is still in the frame ?
Do you have a PLAN B ?..........aka ditching CATH and seeking out an alternative JV arrangement possibly with the US / Europe ?

7) Was the important items such as UPDATED DFS, SEZ, BFS etc delayed massively because of all these disputes ?

8) Why does the BOD have very little ownership of AVZ shares compared to the chinese entities ?
DO you foresee a problem going forward regards to voting rights ?

9) Are you in close communication with the president Felix Tshisedeki regards to the court cases of Dathomir / Zijin or is it just with lower level Govt personnel at this stage ? Does Felix Tschisedeki acknowledge the IGF report and why is it taking so long for that report to be enacted ?

10) What time frames can you offer up regards to construction / production of RD given this long drawn out dispute which is now 6 months and could be longer ?

@JAG / other............Before you ask the questions below, you might want to make it known that you are the spoke person for a large entity of shareholders big and small, just adds another layer of heat / importance to the BOD....😡😡😈🤛🔥🔥🍍
