Mpiana Mwanga Hydro Electric Power Plant (HEPP)


AVZ has through its 100% owned DRC based legal entity, AVZ Power SAU (AVZP), successfully negotiated and signed an MOU with the DRC government.

This MOU now grants AVZP the right to begin full studies into the redundant and abandoned Hydro Electric Power Plant (HEPP) located 87 km south east of Manono at a town called Mpiana Mwanga, which is situated on the Luvua river a large tributary of the upper Congo river further to the north.

The intent of the MOU is to progress the studies to a point where ownership of the HEPP will transfer to AVZP for operation by AVZP or homever AVZP engages to do so.

AVZ has commissioned a DFS report on the HEPP and has determined that the power plant can be refurbished and that it could operate viably. The DFS determined that the HEPP could be refurbished for USD 50.5 M16, including high voltage (HV) substations, HV powerline and a
contingency and produce power at an operating cost of USD 0.04/kWh.

The timeline to complete the reconstruction is 18 months start to finish.

The Capital will procure the following:

• All design engineering, construction management and direct man hour costs
• Reconstruction of Mpiana Mwanga No2 (MP2)(3 x 10.3 MW Kaplan turbines with
alternators and control systems)
• Repair of all building, pen stock and general civil works
• Installation of 2 new HV substations inclusive of all HV transformers (at HEPP and in Manono)
• Installation of a new 60 MW, 120 kV aluminium overhead powerline with insulators, optical ground wire (OPGW) and monopoles from the new Mpiana Mwanga HV substation to the new Manono HV substation (~87 km)
• Service road refurbishment from Manono to Mpiana Mwanga. The HEPP facilities are old and consist of two powerhouses, Mpiana Mwanga No 1 (MP1) and Mpiana Mwanga no 2 (MP2), independent of one another. MP2, the newer of the two powerhouses (built circa 1952) has capacity for 3 Kaplan vertical axis turbines each capable of producing 10.3 MW once retrofitted giving a total installed generation capacity of 30.9
MW. 10% power losses are anticipated between generation source and take off user end of the 120 kVa HV overhead powerline.

MP1, the older of the two powerhouses (built circa 1932) has the capacity for 3 Francis vertical axis turbines each capable of producing 4.5 MW once retrofitted giving a total generation capacity of 13.5 MW should the current civil work be re utilised as is.

If the civil work was significantly modified, then this facility could potentially also provide 3 x 10.3 MW Kaplan vertical axis turbines.

This was not studied in detail in this DFS as the power generated from MP2 already meets the demand for this phase of the Manono project.

This option may become viable in Stage 3 of the Manono Lithium and Tin project when the Hydroxide plant is planned for and will be re studied as part of that DFS.

Stage 1 of the Manono Lithium and Tin Project, i.e. a dense media separation (DMS) plant and a primary lithium sulphate plant, requires a total installed power of circa 26.5 MW and a demand load of 23 MW.

This indicates that the 3 x 10.3 MW turbines will generate more power than required for initial Stage 1 requirements, resulting in the understanding that two turbines will be run on duty and the third one is the unit on standby (2n+1).

Under Stage 1, i.e. two turbines in duty and the third in standby mode, the power generated will exceed the demand side usage and so the balance of the power will be offered to the local population through the SNEL grid for use in electrifying the towns of Mpiana Mwanga and Manono or any other off-takers that present themselves to SNEL.

The lithium mining project in Manono, in the province of Tanganyika, is stalling. And civil society, operating in the natural resources sector, does not hesitate to name the culprit: Cominière (Congolese mining company), this state portfolio company born from the remains of Zaire-Etain.

In a statement, made simultaneously, on November 20, 2022, in Kinshasa, Kolwezi, Lubumbashi and Bukavu, these Civil Society Organizations note that "the management of Cominière SA must stop blocking the development of Manono and undermining the presidential energy policy and the development of 145 territories by multiplying strategies to block Dathcom Mining”.

From the outset, these Civil Society Organizations specializing in natural resource issues claim to have observed "agitation and maneuvers on the part of certain government administrative and judicial services as well as Cominière SA with the aim of freezing the notification of the Permit of Exploitation of Dathcom Mining SA and communicate to it the total amount of surface rights due to the State. This constitutes a serious prejudice not only for the Congolese party (Congolese State with its 10% of the shares returning to it by right as well as those of the company of the State Portfolio, Cominière SA), but especially for the population affected by this mining project which was already to conclude the specifications for community development to combat the current poverty.

They base their conviction on documented investigations with the ministry that manages electricity in the Democratic Republic of Congo.

“Taking into account these facts known to the Management of Cominière SA and the string pullers to be identified”, these Organizations recommend “urgently and patriotically” to the authorities of the country to make every effort to remove all the locks which block the effective start of the Manono lithium project.

Especially to the President of the Republic, these Organizations are waiting to see him: “to ensure that the climate of confidence reigns between the shareholders of the Dathcom Mining SA Company so that the exploitation operations begin urgently; give orders to the services of the State so that Dathcom Mining SA is notified and that the 10% of State shares are effectively registered in the register of the Mining Cadastre in accordance with our mining legislation; ensure that governance within Cominière SA is effectively strengthened and implemented; ensure that the people proposed by the Ministry of Portfolio are honest and will defend the interests of the State in the company Dathcom Mining SA, United Cominière SA and other partnership companies at Cominière SA; prohibit any interference or interference by certain members of the government, institutions and cabinets at the national and provincial level having direct or indirect interests with this state enterprise”.

Our national civil society organizations specializing in natural resource issues in the Democratic Republic of Congo, signatories of this press release, invite His Excellency the President of the Republic, Head of State Félix-Antoine TSHISEKEDI TSHILOMBO and the Government led by His Excellency Prime Minister Jean-Michel SAMA LUKONDE KYENGE to concern himself for the normal functioning of the joint venture Dathcom Mining SA in order to enable it to start the production of Lithium in the territory of Manono and to apply its development policy community according to the country's mining legislation and international standards.

Our organizations note agitation and maneuvers on the part of certain government administrative and judicial services as well as Cominière SA with the aim of freezing the notification of the Exploitation License of Dathcom Mining SA and communicating to it the total amount of surface rights due to the 'State ; this constitutes a serious prejudice not only for the Congolese party (Congolese State with its 10% of the shares returning to it by right as well as those of the company in the portfolio, Cominière SA), but especially for the population affected by this mining project which was already to conclude the Specifications for the community development to fight the current poverty; this also prevents the start of construction work on the mine and the production of this popular mineral in the manufacture of electric batteries essential in the fight against global warming against which the DRC is positioning itself as a solution country for the global energy transition.

Since September 2022, the General Management of Cominière SA, a member of which is supposed to sit on the Technical Committee for Monitoring the works of the rehabilitation project for the Mpiana-Mwanga power stations, has launched a call for tenders claiming that the said power stations are abandoned. During a meeting organized by the communities of Manono on Saturday November 12, 2022 on Dathcom Mining SA, the delegate of Cominière SA publicly declared that they have “selected the Chinese group Zijin for the rehabilitation of the hydroelectric power stations of Mpiana Mwanga within three years and unconditionally”, according to information in our possession received from a participant in the said meeting. While the official documents in our possession (including the ministerial decree of which we publish a copy in this press release) prove the contrary.

The signatory organizations find in this one more unfortunate maneuver to block the start of the mining project of Dathcom Mining SA which will contribute to the development of Manono and its surroundings in the province of Tanganyika as wanted by His Excellency the President of the Republic and His Your Excellency the Prime Minister, through the ambitious grassroots development program for our 145 territories, with positive spin-offs and ripple effects on the provinces of Haut-Katanga, Lualaba, Maniema, Haut-Lomami, Lomami, Sud- Kivu.

Our organizations remind Cominière SA and the Ministry of Portfolio that one of the reasons that motivated the government to sign the agreement with AVZ POWER SAU is the announcement made by this private company to rehabilitate the plants concerned in compliance with the laws. of the country and international standards in the sector in order to supply energy to Dathcom Mining SA for its mining operations as well as to public and private schools and hospitals (health centers) in Manono and its surroundings, without forgetting an amount to used by the State for the electrification of the city of Manono and Mpiana-Mwanga. This vision of things is part of the development policy of His Excellency Félix-Antoine Tshisekedi Tshilombo, President of the Republic and Head of State,

After documented investigations with the Ministry which manages electricity in the
Democratic Republic of Congo, our organizations have succeeded in establishing the following chronology of facts known to Cominière SA that they wish to share with public opinion:

- On June 04, 2019, AVZ POWER SAU sends a letter of expression of interest on a hydroelectric development project of the Mpiana-Mwanga site at least 87kms from the city of Manono in Tanganyika;

-On June 13, 2019, there was a meeting convened by the Ministry of Energy sanctioned by a ''Minutes of the technical meeting for the rehabilitation of the hydroelectric power plant of "Mpiana-Mwanga" written by the General Secretariat of the Ministry of Water Resources and Electricity;

-On June 21, 2019, a collective service order referenced No.ERH/SG/0/036/B9/NB/19, the
government sent a technical mission to the site in the Territory of Manono;
-In July 2019, a mission ''Report'' carried out at the Mpiana-Mwanga hydroelectric power station on the Luvua River as part of the rehabilitation project by the company AVZ POWER SAU from July 24 to 03, 2019 at the expense of the Project;

-On July 29, 2019, there was a document referenced No. ERH/4/SG/0/08681/G9/LK/19 and entitled “Transmission Mission report – Mission carried out in Mpiana-Mwanga in the territory of Manono in province of Tanganyika';

-On January 13, 2020, the ''Protocol of Understanding between the DRC and AVZ POWER SAU regarding the rehabilitation of the Mpiana-Mwanga I and II hydroelectric power plants'' was signed by the Vice-Minister of the Ministry of Hydraulic Resources and Electricity for the Minister.

-On March 25, 2020, there was "Transmission of the feasibility study for the Mpiana-Mwanga hydroelectric power plant in the province of Tanganyika in Manono" to the Ministry of Hydraulic Resources and Electricity (Government) under reference 001/ AVZP/MD/PERTH/03/202, followed by acknowledgment of receipt on March 27, 2020.

On October 30, 2020, there was an “Information Note for the attention of His Excellency the Minister of State, Minister of Water Resources and Electricity” on the “Mission requested by the company AVZ POWER SAU as part of the technical and environmental assessments of the Mpiana-Mwanga hydroelectric power plant under reference RHE/4/SG/0/1321/G20/SMW/2020.

-On October 30, 2020, there was "Transmission of the report of the service mission carried out in Manono in the province of Tanganyika" according to the mission or service order referenced RHE/0/SG/070/B9/ SM/2020 of September 15, 2020'' to support the technical agents of the companies Congo Energy SA, Blue Phoenix, Stucky, CREC 8, International Montage Maintenance SA, Zest Weg Group, Groupe Muama Business SARL, WD Power, Power Line, Africa Services DRC SARL, TBEA Hengyan Transformer Co. Ltd and Tramico SARL in the context of the technical and environmental assessments of the Piana Mwanga I and II power plants, under reference RHE/4/SG/0/1322/G9/ALS/2020.

-In October 2020, there was a "Mission Report" carried out in Manono by Engineer Timoleon EYUMA, a ministry official responsible for coordinating all the work.

In December 2020, the General Secretariat of the Ministry of Hydraulic Resources and Electricity shared with the parties its "Mission Report" carried out, from November 24 to December 09, 2022, at various sites in the Territory of Manono, in the province of Tanganyika for an exhaustive assessment with a view to planning the rehabilitation works of the Mpiana-Mwanga I and II power plants.

-On January 22, 2021, the report of the service mission carried out in Mpiana-Mwanga was sent to the Ministry on collective service order No.RHE/4/SG/0/114/B9/SMW/2020

-29 JANUARY 2021, the Minister of Energy signed Ministerial Order No.129/CAB/MIN/RHE/EMM/2021 of 29 on the ''creation of a Technical Committee for monitoring the rehabilitation project of the hydroelectric power plants of Mpiana-Mwanga I and II'' in which sits a representative or delegate of Cominière SA. On the same day, the Minister signed Ministerial Order No.130/CAB/MIN/RHE/EMM/2021 appointing the members of the Monitoring Committee for the rehabilitation project of the Mpiana-Mwanga I and II hydroelectric power plants.

-On March 12, 2021, there was "Transmission of the Minutes and Report" of the validation workshop of the feasibility studies relating to the renovation of the Mpiana-Mwanga I and II hydroelectric power stations on the Luvua river in the province of Tanganyika under reference RHE/SG/0/0389/B8/SM/2021.

- On April 9, 2021, the members of the Monitoring Committee were appointed.
-On April 24, 2021, by its letter referenced MOMENTUM/KIN/CL/002/AVRIL/2021, the consulting firm of AVZ POWER SAU wrote to the Minister of Energy to express to the government the satisfaction of its client following the letter of the Minister of Energy referenced CAB/MIN/RHE/BMP/209/AAM/21 approving the feasibility studies for the renovation of the Mpiana-Mwanga I and II power plants.

- On May 3, 2021, the letter from the Secretary General of the Ministry of Water Resources and Electricity referenced RHE/SG/0/0652/G/NB/2021 appointing the member and leading official, representing the Ministry of Water Resources and Electricity in the monitoring committee.

- On May 3, 2021, the letter from the Secretary General of the Ministry of Hydraulic Resources and Electricity referenced RHE/SG/0/0653/G/NB/2021 notifies the representative of the Ministry of Hydraulic Resources and Electricity of his appointment to the monitoring committee.

- On May 20, 2021, the Coordination of the technical monitoring committee sends a Technical Note to the supervising Minister on the “State of play to date of the rehabilitation project of the Mpiana-Mwanga hydroelectric power stations.

- On May 27, 2021, the technical monitoring committee sends an Information Note to the attention of the Ministry of Hydraulic Resources and Electricity on the project.

Taking into account these facts known to the Management of Cominière SA and the pullers of the strings to be identified, our organizations urgently and patriotically recommend:

1. TO THE INTERIM MANAGEMENT OF COMINIERE SA

To respect the Memorandum of Understanding signed between the Government of the Republic and AVZ POWER SAU for the rehabilitation of the hydroelectric power stations of Mpiana-Mwanga, and of which a representative was to sit in the Technical Monitoring Committee of the said project;

To take into account the conclusions of the General Inspectorate of Finance (IGF) on its management and the selling off of the assets of this state-owned company, and draw the consequences by resigning.

2. TO THE MINISTER OF WATER RESOURCES AND ELECTRICITY

To ensure that the works are carried out normally taking into account the agreement signed with AVZ POWER SAU which commits the entire government and the Democratic Republic of Congo;

To ensure with his colleague from the Portfolio that the Management of Cominière SA ceases to create one more blockage against the effective start of the work of the Dathcom Mining SA lithium mining project expected by the populations of Manono, the province of Tanganyika and the whole country .

3. TO THE MINISTER OF PORTFOLIO

To stop confusing and playing a role that blocks the development of the mining project of Dathcom Mining SA and to take into account the conclusions of the roadmap (Report) of the IGF on its bad role in the illegal sale of the 15% shares in a Zijin company as well as the selling off of the assets of Cominière SA by its interim management, then draw all the conclusions of fact and law;

To respect and support the Memorandum of Understanding signed by the Government of the Republic, through the Minister in charge of the energy sector, and AVZ POWER SAU for the rehabilitation of the Mpiana-Mwanga power plants;

To stop taking sides with a private company (Dathomir Mining Resources SARLU) in its commercial dispute with AVZ International Pty Ltd or with the Chinese group Zijin, beneficiary of a sale of shares in Cominière SA described as illegal by the the General Inspectorate of Finance, with all the risks of undermining the efforts made by His Excellency the President of the Republic and Head of State for a healthier business climate and the rule of law;

To proceed urgently, in the name of the higher interest of the nation and in respect of the vision of the Head of State, to the recruitment by selective test of the agents of the State who can manage rationally with a productive governance this mining company of the state whose assets only serve a small group of individuals identified by reports from other non-governmental organizations.

4. TO HIS EXCELLENCY THE PRIME MINISTER, HEAD OF GOVERNMENT

To bring order to the management of Cominière SA, left for years in the hands of two people (the Deputy Managing Director and the Technical Director) who impose their will on it to the detriment of the interests of local communities and the Republic, and ask the Minister of Portfolio to proceed urgently with the recruitment by selective test of new agents to manage this public company, taking into account the conclusions of the IGF Report;

5. TO HIS EXCELLENCY THE PRESIDENT OF THE REPUBLIC, HEAD OF STATE

Ensure that the climate of trust reigns between the shareholders of Dathcom Mining SA so that mining operations begin urgently;

Give orders to the State services so that Dathcom Mining SA is notified and that the 10% of State shares are effectively registered in the Mining Cadastre register in accordance with our mining legislation;

Ensure that governance within Cominière SA is effectively strengthened and implemented;

Ensure that the persons proposed by the Ministry of Portfolio are honest and will defend the interests of the State in the company Dathcom Mining SA, United Cominière SA and other partnership companies at Cominière SA;

Prohibit any interference or interference by certain members of the government, institutions and cabinets at the national and provincial level having direct or indirect interests with this state enterprise.

The Piana-Mwanga hydroelectric dam is a 54 megawatt power station commissioned in 1933 under Belgian colonization, to supply electrical energy to the Manono tin mine, today where the project of the Manono lithium mining.

The exploitation of tin and its mine have been dormant since 1982, the Piana-Mwanga hydroelectric power station has not been able to continue its production of electrical energy for lack of financing and maintenance formerly guaranteed by the state operating company of Zaïréétain tin, today COMINIERE.

On January 13, 2020 after joining the DATHCOM joint venture, a joint venture with the Congolese State for the exploitation of lithium, the mining conglomerate AVZ MINERALS Limited, in order to supply electrical energy to the Manono-Kitotolo mine, the one of the largest lithium mines in the DRC, with reserves estimated at 120,000,000 tonnes (132,277,357 tons) of ore.

AVZ POWER SAU (subsidiary of AVZ MINERALS) had concluded an agreement with the Congolese government for the rehabilitation of the hydroelectric power station of Mpiana-Mwanga I and II in order to supply its mining operations, in particular to supply electrical energy to a large part of the population of the territory of Manono.

“We have been working for several months now to secure this opportunity, as we consider the rehabilitation of the Mpiana-Mwanga power plant to be a big step forward for the company,” said Nigel Ferguson, Managing Director of AVZ MINERALS .

A feasibility study had been authorized by the Congolese government through its Ministry of Hydraulic Resources and Electricity and initiated by the Australians of AVZ POWER, in order to allow the Piana-Mwanga hydroelectric power station, already abandoned, to be able to produce at least 54 megawatts to support its mining and electricity distribution activities in the territory of Manono.

In September 2022 a Coup de theater, the COMINIERE company representing the Congolese State in DATHCOM, decided to change the cards in the rehabilitation project of the Piana-Mwanga hydroelectric power station.

On Saturday November 12, 2022 COMINIERE publicly announced through its delegate in the joint venture, MUYELA Robert , that it had selected the Chinese group ZIJIN from several proposals through one of its subsidiaries in DR Congo, for the rehabilitation of hydroelectric power plants. of Mpiana-Mwanga within three years and this without condition.

The reason put forward by COMINIERE would be that the Australians of AVZ MINERALS did not respect the laws of the DR Congo, granting themselves through DATHCOMA the plant which is from the Congolese State and not from the joint venture on the Manono project. -lithium.

The energy sector in the DRC is managed by the government on the basis of the 2014 law liberalizing the sector in the country, and not according to the will of Cominiere or Zijin, Chinese or individual. Here is an official letter from the Gen Energy Secretariat of January 2023 to NGOs.



I know there are Chinese from Zijin but the local workers would have fled for bad payment and treatment like any good Chinese in the DRC. Moreover, I rely on official government documents which legally commit Cominiere and any other partner.



Good luck. But in case of conflict on this file, the official documents of the government and the State are not in favor of Cominiere and Zijin but for AVZ-Power. This is the big weakness in your showdown with @AvzMinerals : government documents. Good Luck!

Manono developed from the beginning of the 20thcentury when Belgian settlers exploited a promising cassiterite deposit, as it was then known to be a cassiterite deposit.

Mines as well as quarries, smelters, dams, housing and the railway brought prosperity. It was then known as Congo-Etain, a state-owned company which became Zaire-Etain after the country changed its name to Zaire, and then became La Cominière (Congolese Mining Company).

But gradually, after the turbulent years and mismanagement that followed independence in 1960, the mining equipment deteriorated and Manono gradually became dormant.

The decline was encouraged by falling tin prices, although the final blow came from the war that broke out in 1997.

A quarter of a century later, vegetation has grown on the ruins and slag heaps are covered with trees, while two steam locomotives, a crane and wagons rust on the side of a road.

Mpiana Mwanga I and II were set up to supply electricity to the tin mine. The power plants are located 95 km from Manono territory on the Kalemie road.

Commissioned in 1932 and 1952, 91 and 71 years ago respectively by Géomines, a company of theBelgian monarchy.

The electricity used at the time was to supply the mines and surrounding areas, the mechanical workshops, the hospital, the flour mill, the water pumping stations, the offices and houses of the Belgians and the workers' camp.

The Zaireanization process of 1973 resulted in the separation of ownership and concessions granted to Zaire Etain.


Mpiana Mwanga II operated from 1948 to 1986. The two plants served the mine, the mechanical workshops and the mining camp until the collapse of the price of tin in the 1990s.

1980 and the closure of the mine at the same time.

The Mpiana Mwanga I operation was shut down due to lack of oil in 1999 following a new war by RCD rebels supported by their Rwandan allies, although the war had already started in 1997.

Following these events, Mpiana Mwanga I and II were vandalized to the extreme so that allengines, electrical cables including transmission lines, and instruments were stripped, except for civil infrastructure.

PROPERTY TITLES
Mpiana Mwanga I and II belong to the Congolese State according to the provisions of article 52 of Law 14/011 of June 17, 2014 relating to the electricity sector.

AVZ POWER SAU, subsidiary of the international company under Australian law AVZ MINERALS LTD, whose purposesocial consists of the study and development of projects in the electricity sector such as hydroelectricity, solar, wind and thermal energy in the DRC, had, on June 4, 2019, requested the rehabilitation of Mpiana Mwanga by submitting a letter of intent for expression of interest to the Ministry of Hydraulic Resources and Electricity.

Such a request was welcomed by the MHRE as the ultimate objective was to use the electricity in the restart of the Dathcom mine and its surroundings at Manono located in the Manono territory. It indicates that Dathcom is a joint venture of which Cominière and AVZ International are partners, Cominière being a parastatal company.

2. Memorandum of Understanding
On January 13, 2020, a Memorandum of Understanding (MOU) was signed between the DRC (MHRE) and AVZ POWER SAU. Objective: rehabilitation of the Mpiana Mwanga I and II hydroelectric power stations as part of the implementation of the joint venture contract, led by AVZ INTERNATIONAL LTD and signed between them, that is to say, between the companies

COMINIÈRE SA, AVZ INTERNATIONAL LTD, DATHOMIR MINING RESOURCES SARL and DATHCOM MINING SA, not only for the exploitation oflithium mine but also for the electrification of Manono and its surroundings.

The memorandum of understanding stipulated the responsibility of the AVZP to carry out a definitive feasibility study (DFS). AVZP also obtained a baseline Environmental and Social Impact Assessment (ESIA) in September 2020, a prerequisite for proceeding with the DFS.

3. DFS
a. DFS – REHABILITATION OF POWER PLANTS
AVZ Power SAU (AVZP) works collaborativelywith the Ministry of Water Resources and Electricity (MHRE) to secure a concession to renovate and operate the existing Mpiana Mwanga power station to provide electricity to the Manono lithium and tin operations and the communities of Mpiana Mwanga and Manono.

These power plants are hydroelectric power plantsalong the water, located on the Luvua River about 90 km southeast of Manono. They have not been operated since the mid-1980s and late 1990s, and have been significantly stripped of copper pylons and transmission lines, rendering them unusable. The power stations were originally built respectively in two stages with a head height difference of 23 m located on the Luvua River.

To date, AVZP has conducted a DFS on the former Mpiana Mwanga facilities and found the following:
• The newer of two existing turbine halls, built around 1952, was designed for 3 8.98 MW vertical shaft Kaplan turbines, of which only two were installed. All other infrastructure in terms of concrete and structural steel exists for the third turbine, with the exception of the roof which has been completely removed.
• The older of two turbine rooms, built around 1932, was designed for 3 x 4 MW vertical shaft Francis turbines.
• The HV switching station is unusable and will need to be replaced. This switching station was severely neglected and dilapidated. It will require a complete rebuild to modern specifications and standards.
• The 120 kV overhead power line to Manono was stripped of copper line and most of the pylons were damaged when the power cables were stolen. Unfortunately, many insulators were also damaged during the looting.
• The road from Mpiana Mwanga to Manono requiresa complete renovation.
• The Manono HV substation is also unusable and will require replacement and complete rebuilding to modern specifications and standards.
• Both turbine halls require significant concrete and structural repairs to return them to service.

b. ENVIRONMENTAL STUDIES ON POWER GENERATION, POWER TRANSMISSION LINES AND ROADS
In accordance with the requirements of the concession application process, AVZP also conducted three ESIAs which were all approved by the Congolese Environment Agency (ACE).

These were awarded by the ACE on November 52020 for:
• Hydroelectric power plant
• 120 kV overhead power line
• 90 km of road repair from Manono to Mpiana Mwanga

The ESIA report was approved by the Congolese Environment Agency (ACE).

4. INTERMEDIATE STEPS IN THE PROCESS LEADING TO THE SFD VALIDATION PROCESS
The COHERENT intermediate steps leadingto the DFS validation process are listed below:
• June 21 to July 3, 2019: SG/MHRE and COMINIÈRE SA carry out a joint on-site visit mission through their collective mission orders: No. ERH/ SG/0/036/B9/NB/19 of June 21, 2019 in Kinshasa and n°026/CEM/DG/2019 of June 24 in Lubumbashi. Mission composed of experts from MHRE, COMINIÈRE and AVZ POWER SAU to a proven inventory of these infrastructures.
• January 13, 2020: Signature of a memorandum of understanding between MHRE and AVZ POWER SAU for the rehabilitation of the installations of the Mpiana Mwanga I and II hydroelectric power stations and their outbuildings.
• September 15 to 31, 2020: SG/MHRE dispatcheda second mission by service order n°RHE/0/SG/070/B9/SM/2020 carried out by an MHRE expert to support the technical agents of the bidding companies with AVZ POWER SAU in the context of technical and environmental assessments .
• November 5, 2020: AVZ POWER SAU obtains thethree Environmental Certificates from ACE (Congolese Environment Agency) on favorable opinion of the panel of experts in environmental and social impact studies:
• Environmental certificate No.100/ACE/CM/JCEE/2020 for the rehabilitation of 120kV high voltage power Manono – Mpiana Mwanga
• Environmental certificate No. 101/ACE/CM/JCEE/2020 for the Manono-Mpiana Mwanga road rehabilitation project, 95 km long, Tanganyika province
• Environmental certificate No. 102/ACE/CM/JCEE/2020 for the rehabilitation project of the Mpiana Mwanga I and II hydroelectric power stations with a potential production capacity of 44.4 MW in Mpiana Mwanga, Tanganyika province.
• December 23 to 10, 2020: SG/MHRE dispatcheda third mission by service order no. RHE/4/SG/0/114/B9/SMW/2020 carried out by experts from COMINIERE SA and AVZ POWER SAU for a complete assessment with a view to planning the rehabilitation work.
• December 14, 2020: Request by the company AVZ POWER SAU to convene a Joint Technical Committee to examine the file relating to the award of the concession contract for the rehabilitation of the Mpiana Mwanga I and II hydroelectric power stations.
• January 29, 2021: Signature of Ministerial Order No. 129/CAB/MIN/RHE/EMM/2021 of January 29, 2021, by His Excellency the Minister of State, Minister of Hydraulic Resources and Electricity establishing the Committee Monitoring Technique for the Rehabilitation Project of the Mpiana Mwanga I and II Power Plants.
• February 27, 2021: Convocation by the SG-MHREby its reference letter No. RHE/SG/0/0327/D9/SM/2021 from an ad hoc committee of multisectoral and multidisciplinary experts for the analysis and validation of the feasibility studies of the Mpiana Mwanga I hydroelectric power stations and II.
• March 22, 2021: By his letter n°.CAB/MIN/RHE/BMP/209/AAM/21, His Excellency the Minister of State, Minister of Hydraulic Resourcesand Electricity after validation of the studies by the ad hoc committee of multi-sector experts, authorized AVZ POWER SAU to continue work on the Mpiana Mwanga I and II site taking into account its recommendations.


5. CONSTITUTION OF THE DFS VALIDATION COMMITTEE BY MHRE
According to the MoU, the DFS was to be submitted to the MHRE along with ACE certificates of ESIA reports on power generation, power lines and roads.

Following this submission, a validation committee was formed by the MHRE composed of representatives of the following institutions:
• Advisor in charge of hydroelectricity at MHRE
• Advisein charge of solar and wind energy of MHRE staff
• Advisein charge of MHRE staff finances
• Advisor in charge of training MHRE staff
• Director – Head of Electricity Department of the SecretariatGeneral of the MHRE
• Director – Head of the Renewable Energy Department of the MHRE General Secretariat
• Single division head of the MHRE General Secretariat
• Rural Electrification Division Head of the MHRE General Secretariat
• Head of the Distribution Division of the MHRE General Secretariat

• Expert from the NATIONAL ENERGY COMMISSION (CNE)
• Expert of UNIVERSITY OF KINSHASA(UNIKIN)
• Expert of the INSTITUTE SUPERIOR OF THE TECHNIQUES APPLIED(ISTA)
• Independent expert

6. THE DFS VALIDATION COMMITTEE BY MHRE WORKING METHODOLOGY OF THE COMMISSION

SCOPE OF WORK ON MPIANA MWANGA
• Component 1: Replacement of MM I and MM II turbines with 3 new onesmodern Kaplan units each (10.3 MW for MM I and 4.5 MW for MM II) for a total of 44.4 MW of installed capacity compared to a previous one of 30 MW. A third turbine will be installed in position 3 not previously usedto MM II
• Component 2: Installation of substations with control and measuring devices. In addition, all electrical equipment and instruments will be new and no old equipment will be reused.
• Component 3: General renovation works. For example, restoration of concrete spillage and damage to the metal structure ispossible and will be completed.
• Component 4: HT 120KVA electricity transmission line. The entire HT system will be new, including the 120KVA power line to Manono with support towers and insulators as well as HT substations at each end of the transmission line. The new transmission line will be equipped with an optical fiber ground wire (OPGW) to facilitate communication with the control room of the Manono processing plant.
• Component 5: Rehabilitation of the Manono -Mpiana Mwanga road


Once the ESIA reports have been approved by the AgencyCongolaise de l'Environnement (ACE), the MRHE expert group reviewed the DFS prepared by AVZP from February 27 to March 2, 2021, and then approved it for use. Following the report of the Validation Committee, the Minister of State, Minister of RHE validated the DFS on March 22, 2021 in his letter referenced

CAB/MIN/RHE/BMP/209/AAM/21 dated March 22, 2021.

AVZP fulfilled all requirements in accordance with the DRC Electricity Law 2014 and its secondary legislation, to obtain the concession contract. AVZP will be integrated into a PPP collaboration agreementwhich was under review by the DRC government.

From the award of the concession, AVZP expects the renovation to take between 16 and 18 months for Turbine Hall 2. Turbine Hall 1, which requires more design than Turbine Hall 2, will take another 12 months to complete.

AVZP plans to install 3 new 10.3 MW turbines in Hall 2, then potentially 3 units of the 4.5 MW turbines in Hall 1. This will provide a theoretical production capacity of 44.4MW beforefactoring of line losses.

The energy will primarily be used to power the Manono lithium and tin operations to be built by Dathcom Mining SA (Dathcom) at the former Roche Dure open pit in Manono and the Manono Special Economic Zone.

AVZP will strive to meet energy demandrenewable from its main buyer, Dathcom. Dathcom's goal is to work toward becoming a zero-carbon mining operation by 2030, as well as being a good corporate citizen and providing surplus energy to the community through the local distribution network. AVZP will also provide energy for essential social services.

7. THE EXPANSION CONCESSION AWARD PROCESS
The authorization to continue the stages of implementation of the works on the Mpiana Mwanga I and II site being granted by His Excellency the Minister of State, Minister of Hydraulic Resources and Electricity, only the signature by His Excellency will remain. Excellency the Governor of the Province of Tanganyika of the concession document of the Company AVZ POWER SAU in order to comply with the requirements of articles 47, 74, 75 and 76 of Law 14/011 of June 17, 2014 relating to the sector of electricity.

The process of awarding the concession for the operation of the Mpiana Mwanga power stations to begin the financing and execution of the renovation of MM I and II has not yet materialized due to the interference of Cominière although the final use of electricity is to power the mine and surrounding areas of Manono. AVZ POWER SA has excluded itself from distribution outside the mining enclosure.

According to Franck Fwamba, AVZP have a Legal abiding MoU with the State for the Mpiana-Mwanga Power Plant. Franck stated he had checked these facts.

Tantalex also state in their PEA released last week that the Piana Mwanga hydroelectric dam is currently being refurbished so you’d have to think there is some truth in that statement - the question is by who .. hopefully us given the recent 3 page magazine article and AVZ Minerals post on their Twitter account.

I can't speak for what's happening on the ground now but the Mpiana Mwanga power plant was returned to the Congolese state because Cominiere hadn't touched it in over 30 years. Another court battle I'm confident we can win but will just add to the delays. Sorry for the image quality on the decree but I don't have a better copy.

Mpiana Mwanga has nothing to do with the Dathcom JVA and work on it isn't subject to the ICC emergency order against Cominiere

Who has control of the plant is a question of whether the 30 year period of validity lapsed and if the asset was returned to the Congolese state from Cominiere before being given to AVZ Power

Although this time we have a government minister on our side and Cominiere were dumb enough to join the committee for the refurbishment after not objecting to AVZ Power having the asset for over a year. Knowing CKK he probably still hasn't officially objected. Most likely we will need to pursue this within the DRC court system imo

The MPIANA MWANGA hydroelectric plant, once restored, in addition to providing electricity to the Manono lithium mining project, must in particular ensure the distribution of electrical energy to the population and state infrastructure in this part of the country which suffers enormously from an energy deficit, something which blocks development in the province of Tanganyika.

Here recently on social networks, more on Twitter, an "uncertified" account in the name of COMINIERE, the state company of the Congolese State on lithium in Tanganyika, shows images and videos of work in progress on the site of the MPIANA MWANGA I&II hydroelectric power station.
This “ongoing” work for the rehabilitation of the MPIANA MWANGA I&II hydroelectric power station raises questions, such as:
  • Who finances this work?
  • With what agreement (contract) are they carried out?
  • Which companies are involved in this work?
  • Is the Congolese Government which owns the plant aware of this and has it authorized this work?
  • Why is COMINIERE embarking on this work without waiting for the court's decision on DATCHOM?
The Australian company from Perth, was quick to react to possible work taking place without its knowledge on the site of the MPIANA MWANGA I&II hydroelectric power station, recalling the memorandum of understanding signed with the Congolese Government, which still remains in force. force:

  • Environmental certificate No. 101/ACE/CM/JCEE/2020 for the Manono-Mpiana Mwanga road rehabilitation project, 95 km long, Tanganyika province.
  • Environmental certificate No. 102/ACE/CM/JCEE/2020 for the rehabilitation project of the Mpiana Mwanga I and II power stations with a potential production capacity of 44.4 MW in Mpiana Mwanga, Tanganyika province.
  • December 23 to 10, 2020: SG/MHRE dispatched a third mission by service order no. RHE/4/SG/0/114/B9/SMW/2020 carried out by experts from COMINIERE SA and AVZ POWER SAU for a complete assessment for the planning of rehabilitation works.
  • December 14, 2020: Request by the company AVZ POWER SAU to convene a Joint Technical Committee to examine the file relating to the award of the concession contract for the rehabilitation of the Mpiana Mwanga I and II hydroelectric power stations.
  • January 29, 2021: Signature of Ministerial Order No. 129/CAB/MIN/RHE/EMM/2021 of January 29, 2021, by His Excellency the Minister of State, Minister of Hydraulic Resources and Electricity creating the Committee Monitoring Technique for the Rehabilitation Project of the Mpiana Mwanga I and II Power Plants.
  • February 27, 2021: Convocation by the SG-MHRE by its reference letter No. RHE/SG/0/0327/D9/SM/2021 of an ad hoc committee of multisectoral and multidisciplinary experts for the analysis and validation of feasibility studies of the Mpiana Mwanga I and II hydroelectric power stations.
  • March 22, 2021: By his letter no. CAB/MIN/RHE/BMP/209/AAM/21, His Excellency the Minister of State, Minister of Hydraulic Resources and Electricity after validation of the studies by the ad hoc committee of multi-sectoral experts, authorized AVZ POWER SAU to continue work on the Mpiana Mwanga I and II site taking into account its recommendations.
5. CONSTITUTION OF THE DFS VALIDATION COMMITTEE BY MHRE

According to the MoU, the DFS was to be submitted to the MHRE along with ACE certificates of ESIA reports on power generation, power lines and roads.

Following this submission, a validation committee was formed by the MHRE composed of representatives
of the following institutions:

• Advisor in charge of hydroelectricity at MHRE
• Advisor in charge of solar and wind energy to MHRE staff
• Advisor in charge of finances for MHRE staff
• Advisor in charge of training MHRE staff
• Director – Head of Electricity Department of the MHRE General Secretariat
• Director – Head of the Renewable Energy Department of the General Secretariat
of the MHRE
• Single division head of the MHRE General Secretariat
• Rural Electrification Division Head of the MHRE General Secretariat
• Head of the Distribution Division of the General Secretariat of the MHRE
• Head of the Renewable Energy Division of the General Secretariat of
MHRE
• Expert from the NATIONAL ENERGY COMMISSION (CNE)
• Expert from the UNIVERSITY OF KINSHASA (UNIKIN)
• Expert from the HIGHER INSTITUTE OF APPLIED TECHNIQUES (ISTA)
• Independent expert

6. THE DFS VALIDATION COMMITTEE BY MHRE

COMMISSION’S WORKING METHODOLOGY
• Presentation of the report by the representative of the Consortium
• Free reading and criticism, by expert, of the DFS report (scientific and technical opinions and considerations)
• The entire 120KVA overhead line will be replaced with new aluminum and OPGR cables using modern insulation technology.
• Pooling of opinions and reflections of experts from the DRC made up of scientific discipline sectors (hydrology and geotechnics, electromechanics and electricity, social and environmental protection,
economic and financial aspects)
• Debate and exchanges with the Consultant's panel of experts on each concern expressed by the DRC experts.
• Preparation of the report confirming the end of the validation work.

AVZP fulfilled all requirements in accordance with the DRC Electricity Law 2014 and its secondary legislation, to obtain the concession contract. AVZP will be integrated into a PPP collaboration agreement which was under review by the DRC government.

7. THE EXPANSION CONCESSION AWARD PROCESS
The authorization to continue the stages of implementation of the works on the Mpiana Mwanga I and II site being granted by His Excellency the Minister of State, Minister of Hydraulic Resources and Electricity, only the signature by His Excellency will remain.

Excellency the Governor of the Province of Tanganyika of the document of the
concession of the Company AVZ POWER SAU in order to comply with the requirements of articles 47, 74, 75 and 76 of Law 14/011 of June 17, 2014 relating to the electricity sector.

The process of awarding the concession for the operation of the Mpiana Mwanga power stations to begin the financing and execution of the renovation of MM I and II has not yet materialized due to the interference of Cominière although the final use of electricity is to power the mine and the surrounding area of Manono.

AVZ POWER SA has excluded itself from distribution outside the mining enclosure.
