Having never physically attended an AGM before, can anyone enlighten me broadly on what to expect?
Based on the virtual meetings previous is it fair to think about 2 hrs duration followed by some informal chat at the venue?
Is there any sort of reservation required prior to secure a spot in case of restricted venue numbers?
Maybe there will be a coffee or a beer somewhere afterwards?
Thanks in advance
This will be my first AGM post Covid virtual meetings.
In the old days the following applied at the venue that Brainchip are using:
1. On ground floor when you arrived was an information desk and security that you had to negotiate. Unless stated between now and when the meeting is held there does not appear to be any restriction on numbers.
2. Once admitted you went to the lift allocated and it took you to the meeting floor. (The last time I arrived a little early and was required to wait until they were ready to let me go up even though I was ready and cleared by security. When I arrived even though I was in the first group there were already shareholders there. Not sure how but they may have attended another companies AGM earlier.)
3. Upon leaving the lift you went to a large open area where those attending congregate can have a tea of or coffee if so disposed. There was then a desk at the door where registration of shareholders attending was undertaken before entry. You need to have proof of identity in the name of your shareholding if you intend to vote at the meeting. You can vote in advance even if attending by one of the two different approved methods - post or online.
4. If you satisfy the desk that you are a shareholder you will be given something for the purpose of the vote and to identify you to the chair that you are a shareholder.
5. In the room will be chairs arranged in rows in front of a long table at which, much like the bride and groom sit at with there attendants at a wedding those representing the company will sit. You can sit where you like on the rows of chairs they are not reserved although you might find the very first row will already be taken by Brainchip staff etc;
6. The meeting will open and move through the Agenda you have already received. There will likely be a short address from the Chair then the CEO. There will be questions from the floor as they move through dealing with the various motions but these questions should be motion specific. Then usually Brainchip in the past has opened the floor to general questions though we have new people at the top and they may change the order of service. If Peter van der Made attends I would expect that, as in years passed, he will deliver a technical update presentation but with various travel and other restrictions he may be on video from Perth this year or not.
7. After this the meeting will conclude and shareholders will descend on the various company representatives and introduce themselves and ask probing questions but this is the optional stage. There will normally still be tea and coffee available in the other room mentioned above. People will then disburse.
8. The meeting will probably concluded around lunch so some shareholders might then move on to somewhere for lunch etc;
Hope this helps but it has been quite awhile and Covid may have changed some of the old way of doing things at the venue where the meeting is being held.
