Yes. It's still a public company

In a company delisted from the ASX, "shareholders will continue to have the protections applicable to public companies under the Corporations Act. While the Company continues to have in excess of 100 Shareholders, the Company will be an ‘unlisted disclosing entity’ for the purposes of the Corporations Act, and will therefore remain subject to the continuous disclosure provisions in section 675 of the Corporations Act, which require an entity to lodge certain material information with ASIC.

The Company will also continue to be subject to obligations to prepare audited annual and half-yearly financial statements under Part 2M.3 of the Corporations Act and will be required to hold an Annual General Meeting at least once each calendar year and within five months after the end of its financial year in accordance with section 250N of the Corporations Act."

I think its now getting to a point of near-certainty that we'll be delisted. It's not the end of the world, though it'll no doubt be useful propaganda fodder for our opponents.

While ASX listing rule 17.12 removed the 2 year suspension rule, Guidance Note 33 is still in effect.

This effectively brought in 2 year rule back into play on 3/2/2020. An extension will only be granted if we are in the final stages of implementing a transaction that brings us back into resuming trading, and that transaction has been released to market.

Alternatively as others have pointed out before, we need to comply with listing rules that we have decided not to comply with (which resulted in our involuntary suspension). I can't see the ASX giving us an extension given we've decided not to comply with listing rules for 2 years.

18 heads of state expected at the inauguration of Félix Tshisekedi this Saturday, January 20 at the Martyrs Stadium

Two days before the inauguration of the Head of State, the Minister of Communication and Media held a special Briefing, this Thursday, January 18, 2024 at the Stade des martyrs de la Pentecost, in Kinshasa.

The central theme of this meeting with the press: “Inauguration of the President of the Republic, re-elected Head of State: main theme, importance and issues of this historic event”.

Alongside the High Representative of the President of the Republic, Head of State, Professor Serge Tshibangu Kabeya, the Minister of Communication and Media, Government Spokesperson, Patrick Muyaya Katembwe returned to the highlights of this event to better understand what will be discussed next Saturday, January 20.

According to the High Representative of the President of the Republic, Serge TSHIBANGU, 18 Heads of State have already confirmed their participation, 85% of whom are African countries.

Some delegations are already starting to arrive this Thursday; two vice-presidents expected; 4 former heads of state including senator for life Joseph Kabila; High-level representatives of certain European, American and other heads of state are also expected.


According to Mr Tshibangu, all these delegations show their recognition of the mandate of President Félix Tshisekedi.

It is also a way to show their friendship to the Congolese people.

This strong presence demonstrates that the diplomacy of the Head of State is paying off.

Along the same lines, Minister Muyaya stressed that for the first time, the White House communicated on the delegation that will be present at this ceremony.

To the question on road and other infrastructure, the high representative of the Republic stressed that the RVA, the Roads Office supported by military engineers are called upon to take care of it.

As for the opposition demonstration planned for the same date, the Minister of Communication and Media recalled that security arrangements have been made so that it does not appear as a provocation and also ensure the safety of all these distinguished guests who will set foot on Congolese soil.

The minister drew the attention of Kinshasa residents to the fact that 21 cannon shots will be heard in the capital and that they should not be afraid.

The inauguration ceremony of the Head of State will mark an overview of the republican ritual.

"This ceremony also marks the start of his new mandate.

The president cannot take any action if he has not yet been inaugurated.

Before taking office, the President must take an oath.

This involves a solemn hearing and the Constitutional Court will sit in a mobile hearing with 9 judges and a public prosecutor", insisted an official of the Constitutional Court invited to this briefing.

Finally, note that President Félix Tshisekedi will make his compass speech on this occasion for his second five-year term, explained the government spokesperson to emphasize the solemn nature of this event.

I called Automic today. Long long wait times so hopefully this helps.

1/ Automic will be sending shareholders an AVZ Holding Statement shortly.
2/ They are aware of the Jamie Mitchell's e mail and it is being investigated as to who this.
3/ Automic said they would not have given our e mail address to Mitchell, so Mitchell's first sentence is a lie.
4/ Automic are working with AVZ on this matter as expected.

It's been a long road to get here so here is a recap of how we arrived at this point for those unsure of the facts of the case

It all started back on October 2 2019 when AVZ approached the former MoP (not the green lady) about his opinion on us purchasing the 15% of Dathcom from Cominiere. Note this offer was made before the DFS so the market value was unknown at the time.

This was his response on February 18 2020. Note his reference to the DFS being completed before the sale and the DRC government's intent to hold a working session to determine this matter.

Fast forward to July 21 2021 and AVZ are contacted by Cominiere about giving an opinion on an offer they have received from Zijin for the 15%. They also ask us for an advance on dividends which can only be described as batshit insane. Crucially no price for the proposed acquisition is given by Cominiere despite market value now being known from the DFS which was released in April 2020.

Here is AVZ's response through our lawyers on August 4th 2021 to Cominiere's request for an opinion on Zijin buying 15% of Dathcom. Note the reference to the MoP letter from February 2020. Crucially this was sent to Cominiere within the 40 day window outlined in Article 9.1 (b) of the Dathcom JVA. Cominiere never responded to this letter.

After the 40 days expired the purported acquisition by Jin Cheng was approved and registered in the RCCM. AVZ was never given the opportunity to execute it's pre-emptive right. AVZ submitted its offer to the DRC government for the 15% after the 40 days had expired. This was done at the market value established in the DFS.

Finally in mid 2022 the DRC's financial watchdog completed its investigation into the purported sale. This was released to the public in December 2022. The findings were damning for Zijin, Cominiere and the new MoP. Most egregious was the price of 33.4m USD which was below the market value established in the DFS which resulted in a loss of revenue for the DRC of 120.7m USD. in early 2023 an audio was released of Zijin and CKK discussing extra personal payments to facilitate this sale.

Patriotism 101 is don't rat fuck your own people by taking a bribe from foreigners for personal gain. This is also being considered by the ICC as the original hearing in July was pushed back to this week so Zijin could have time to respond to AVZ allegations in court that the purported sale from Cominiere to Zijin was also tainted by corruption.

I'm no big city fancy lawyer but my opinion is that Zijin are completely fucked
