Celestin Kibeya (Managing Director of Cominiere) was recorded taking a bribe from Zijin and then illegally sold shares in Dathcom’s Manono Lithium Project to Jin Cheng (Zijin) for $120million below it’s value. This sale is recorded in Jules Alingette (Inspector General of Finance) IGF Report and deprived the DRC of over $120million. The money from the sale was shared between Celestin Kibeya and his accomplices and the rest was squandered and unaccounted for.

Since then, Celestin Kibeya and Lisette Kabanga have colluded with the DRC Mining Cadastre (CAMI) allowing Cominiere to illegally seize the Dathcom project and form a new joint venture partnership with Zijin (called Manono Lithium) on PR13359 tenement that AVZ Minerals has already developed and was ready to start construction. Cominiere and Zijin have continued to violate local and international laws and rob the population of Tanganyika of millions of dollars

International miners and investors be warned before investing in the DRC Mining and Battery Minerals sectors. The DRC doesn't follow it's mining code, and doesn't abide by International Arbitration orders, including those by the International Chamber of Commerce (ICC) and the International Centre for Settlement of Disputes (ICSID).

The DRC invites foreign companies to invest in its mining and minerals sectors and once projects have been developed by foreign miners, the DRC seizes the projects and sells them on to Chinese companies for bribes. Currently the DRC owes billions of dollars in financial penalties via the International Courts following the corrupt and illegal seizure of projects by the State.

AVZ Minerals spent $140 million and fulfilled all mining license requirements, developing the Dathcom Manono lithium project to the Mining License and construction stage, then the DRC (through State Entity, Cominiere) covertly took steps to withdraw AVZ and Dathcom's Mining License, seized Dathcom’s project and sold it to Zijin Mining.

This was done in collusion with the CAMI, Ministry of Mines and Ministry of Portfolio and has resulted in more than 20,000 international investors losing billions of dollars worth of their investment.

The ICC and ICSID ordered Cominiere not to take steps to explore or exploit within PR13369 or PR15775, and to reestablish Dathcom as the holder of PR13359 but Cominiere and Zijin continue to violate these orders.

The DRC mining sector is not just corrupt, it is broke as a result of it's officials taking bribes and has been refusing to pay penalties of over $70 million to AVZ Minerals ordered by the ICC and ICSID.

Cominiere was shown by the Inspector General of Finance to have committed fraud and its Managing Director (Celestin Kibeya) has been recorded taking a bribe from Zijin. Despite this, and further evidence of Cominiere's corruption, the DRC President has allowed Cominiere's corruption to continue unabated.

Following Celestin Kibeya Kabemba being recorded taking a bribe from Chinese mining giant Zijin, Cominiere illegally sold 15% of shares in Dathcom to Jin Cheng Mining (a subsidiary of Zijin) and seized the Manono lithium project from Dathcom before selling the entire northern tenement to Zijin, including the areas where AVZ had drilled and obtained drill core assays, built a camp that housed the drill core library and accommodation for local workers, and other infrastructure.

Following AVZ Minerals winning all ICC and ICSID Arbitration decisions, Cominiere and Zijin’s joint venture (Manono Lithium) continues to violate ICC and ICSID orders

The decision of the International Chamber of Commerce, CCI in acronym, to condemn the Congolese Public Company Cominière (therefore the Congolese State), to pay 39.1 million euros to the Australian Company AVZ is, from an analytical point of view, "quite logical", for not having obeyed judicial procedures, says Jean-Pierre Okenda, Senior Analyst and Director of the NGO "La Sentinelle des Ressources Naturelles".

"This conviction is only the prelude to what will happen in this complex trial, which began in Lubumbashi, Kalemie, and Kinshasa, before the International Chamber of Commerce proceeded with this international arbitration decision," said Jean-Pierre Okenda, who also wondered: "what does the DRC gain, what does the Congolese gain and what does the population of Manono, in the Province of Tanganyika, gain".

And to continue:
"I was in Manono, in the Province of Manono, in February, the situation of local communities is very difficult. The population lives in indescribable poverty.

Weighing on the balance the decision taken by the Congolese authorities to approve the license of the Australian company AVZ and go back on its decision some time later, the Senior Analyst and Executive Director of the NGO The Sentinel of Natural Resources, without a tongue in his pocket, says: "The decision taken by the authorities is only beneficial to the ruling elite, and not to the Congolese state, nor to the Congolese in general, nor to the people of Manono in particular. In short, the decision-makers made the decision extremely outside the interests of the communities...".

Without being a prophet of misfortune, Jean-Pierre Okenda, says he senses the failure of the Congolese Public Society Comine in this file: "...I sincerely feel that the Congo (as a shareholder of the Cominière) will be a loser. Because, there has been politicization in this file; there has been a collision of interests in this file..."

In this exclusive interview with the Editorial Staff of Surveillance.cd, the Senior Analyst and Executive Director of the NGO La Sentinelle des Ressources Naturelles, considers this situation a waste in terms of income, in terms of benefits for communities, and in terms of the bad reputation of the DRC. With such a file, we reinforce the negative image of the DRC that does not know how to protect investments.

"Losses in terms of image of the DRC, in terms of material losses, where will the Congolese Public Company Cominière find nearly 40 million euros, to be paid, for the Australian company AVZ? ", he wonders.

This expert invites the Congolese elite who is in power, "to make decisions that privilege the interests of the Congo, the Congolese, the Congolese Communities, for the good reputation of the DRC".

The Government of the Democratic Republic of Congo (DRC) has been sufficiently informed, through the press and public communications published on social networks, on May 6, 2025, of the signing of a preliminary agreement between KoBold Metals Company and AVZ Minerals Ltd., aimed at acquiring the latter's commercial interests in the Manono lithium deposit development project. This recent development has obliged the Congolese authorities, through the Ministry of Mines, to recall the obligation to strictly comply with Congolese laws in this area, in particular the following legal and institutional provisions on the Competent Authority, the mandatory consent of the State, the role of Congolaise d'exploitation minière (COMINIERE SA), the right of pre-emption, respect for good governance and transparency, the role of the Mining Cadastre (CAMI) and compliance with DRC-USA bilateral commitments.

Competent authority
Pursuant to Article 8 of the Congolese Mining Code (Law No. 007/2002 as amended and supplemented by Law No. 18/001 of March 9, 2018), the Minister of Mines is the competent authority for the examination, granting, modification, renewal, transfer, or withdrawal of mining and quarry rights. From concordant sources and after cross-checking information, Geopolis Hebdo has learned that to date, the Ministry of Mines has not received any notification or solicitation from KoBold Metals or any other investor in connection with the aforementioned agreements.

Mandatory State Consent
Under Article 78 of the Mining Code, any change in the shareholding of a mining rights holder, particularly in the context of a joint venture involving the State, requires the prior consent of the competent authority. In this case, the Congolese State is a shareholder in the entities concerned, and its consent is essential.

Role of COMINIERE SA, legitimate interlocutor
COMINIÈRE SA, a majority-public company with the National Social Security Fund (CNSS) and the Ministry of Portfolio holding 90% and 10% respectively, is and remains the holder of the mining titles relating to the Manono lithium deposit located in the province of Tanganyika and its surrounding areas. According to the law, COMINIÈRE SA is the sole legitimate interlocutor for any approach concerning the exploitation of its mineral resources. Under the principle of permanent sovereignty over natural resources (UN General Assembly Resolution 1803), any private initiative that fails to consult COMINIÈRE SA and national institutions constitutes unacceptable interference in the sovereign affairs of the DRC.

Right of pre-emption
Under OHADA common law on commercial companies (Uniform Act relating to the law of commercial companies and economic interest groups), in particular Article 765, the partners of a company have a right of pre-emption in the event of a transfer of shares. "This right must be exercised before any external transfer, which was not respected in this case," according to a source close to the case.

Good governance and transparency
Regarding good governance and transparency, the Congolese Mining Code requires transparent and accountable procedures, in compliance with the law.

The conclusion of a repurchase agreement with a company (Editor's note: AVZ Minerals) currently involved in arbitration proceedings against the DRC and COMINIERE SA constitutes a serious breach of the principle of contractual good faith, enshrined in Article 1134 of the Congolese Civil Code, applicable through OHADA law.

Role of the Mining Cadastre not to be ignored
The Mining Registry is the gateway, the obligatory passage for any company wishing to invest in the mining sector in the DRC. Interested parties must consult the CAMI, the technical body responsible for managing the mining sector, to verify the legal and administrative status of the titles they are seeking.

Respect for bilateral commitments between the DRC and the USA
The DRC Government, through the Ministry of Mines, must remind KoBold Metals that the DRC and the United States of America, bound by a long-standing economic partnership, are engaged in a strategic dialogue aimed at strengthening this economic partnership around equitable cooperation that respects the institutions and laws of each country. Any American company operating in the DRC is required to observe the principles that guide the DRC-United States of America economic partnership, namely respect for the sovereignty of each party, transparency, and good governance.

Indeed, the partnership between the Democratic Republic of Congo (DRC) and the United States began in 1960, after the DRC gained independence from Belgium.

The United States established diplomatic relations with the DRC at that time. Over the years, this partnership has grown through various agreements and initiatives, including development assistance, trade, investment, and the fight against polio:
1) Trade and Investment Agreements:
The United States and the DRC signed a bilateral investment treaty in 1984, which entered into force in 1989. The DRC is also part of the Common Market for Eastern and Southern Africa (COMESA), with which the United States has signed a framework agreement on trade and investment;
2) Development Assistance: The United States provides assistance to the DRC in various areas, including the fight against polio and the promotion of responsible and sustainable mining practices;
3) Privileged Partnership: In 2019, the United States and the DRC launched the "Privileged Partnership for Peace and Prosperity" aimed at strengthening democratic institutions, improving respect for human rights, and promoting peace in eastern DRC;
4) Mineral Partnerships: The United States is in discussions with the DRC to establish partnerships on rare minerals, including cobalt and lithium, in exchange for security assistance.

In view of the above, KoBold Metals is invited by the competent Congolese authorities to:
1) Suspend all steps, carried out outside the legal framework, relating to the purchase of AVZ's interests;
2) Initiate formal discussions with the competent Congolese authorities, and finally;
3) Consult without delay COMINIÈRE, the legitimate holder of the mining titles, as well as the Mining Cadastre (CAMI).

With this injunction, which serves as a reminder, the DRC Government reaffirms that it remains open to any foreign investment that complies with the legislation, in particular the Congolese Mining Code and the rules of international and community law (OHADA) applicable in the DRC. Any company wishing to participate in the development of the mining sector in the DRC is welcome, as long as it respects national institutions and advances the interests of the Congolese people.

In its response to the letter, KoBold Metals, which is eyeing AVZ Minerals' commercial interests in the Manono lithium deposit, has fully committed, since May 12, to respecting the laws, regulations and economic sovereignty of the DRC over its soil and subsoil, including the rights to be acquired in the near future.

US-DRC mineral-security agreement: Tshisekedi appoints a coordination to accelerate the mining deal​

The President of the Democratic Republic of Congo, Félix Tshisekedi, has set up a special coordination of experts responsible for leading discussions with the American administration as part of the strategic partnership "minerals against military support". This deal, crucial for Kinshasa, aims to strengthen the country's security capabilities in the face of armed conflicts in the East, and to structure relations with Washington within the framework of the peace agreement under the aegis of the United States with Rwanda.

Mixed coordination to structure a strategic partnership
This coordination's mission is to formalize and accelerate negotiations on this mining and security partnership. It consists of three personalities from the President's office, including two ministers:

Thérèse Kayikwamba Wagner, Minister of State for Foreign Affairs;

Kizito Pakabomba Kapinga Mulume, Minister of Mines;

as well as Guy-Robert Lukama Nkunzi, Chairman of the Board of Directors of Gécamines SA, the largest public mining company in the DRC.

Legal expertise integrated into the process
Coordination is also strengthened by high-level legal experts, including Me Pascal Agboyibor, associate lawyer at ASAFO & CO, recognized for his expertise in the energy, mining, infrastructure and project development sectors in Africa.

A technical secretariat, supported by a group of 22 experts, will support this team. Their role will be to produce regular reports on the progress of the negotiations, as well as on the results of the implementation of the agreement.

Cominière SA (public company in the mining sector) and the Mining Cadastre are among these technical experts.

Kinshasa wants to go fast
For Kinshasa, this step is strategic. The aim is to accelerate discussions and support the concrete implementation of the DRC-USA partnership.

This coordination reinforces the actions already undertaken by the presidency, which relies in particular on the services of the American lobbying firm Von Batten-Montague-York. This firm acts as an intermediary between the Congolese authorities and the American administration, including that of Donald Trump, in order to advance the diplomatic process.

A strategic agreement, but under conditions
The agreement long awaited by Kinshasa aims to stabilize the conflict regions, while enhancing the country's strategic natural resources. But for it to bear fruit, several conditions must be met:
  • Transparency of negotiations;
  • Respect for the Congolese legal framework;
  • And above all, the ability to guarantee equitable economic benefits for the entire Congolese population.
